OptimumBank Forms Wholly Owned Subsidiary OptimumFunding to Support New Lending Initiative
OptimumBank Holdings announced the formation of OptimumFunding, a wholly owned subsidiary created to support a new HUD and FHA lending initiative, representing a significant milestone in the Company's long-term strategic growth plan. OptimumFunding has been established to expand the Company's commercial real estate lending capabilities by offering bridge-to-HUD financing, as well as FHA- and HUD-insured loan origination, with servicing and relationship management supported by professionals with deep experience in the markets and client segments historically served by the Company. Through OptimumFunding the Company expects to offer a focused suite of financing solutions, including: Bridge-to-HUD Financing: Short-term transitional financing solutions designed to support acquisitions, refinancings, recapitalizations, and property repositioning, with the objective of facilitating a transition to long-term HUD or FHA-insured financing. FHA and HUD-Insured Loan Origination: Government-insured financing solutions for qualifying multifamily and healthcare properties, including stabilized and transitional assets. Healthcare and Multifamily Lending Focus: Specialized expertise serving skilled nursing facilities, senior housing, and multifamily assets, building upon the Company's established lending relationships and sector knowledge. In connection with the formation of OptimumFunding the Board of Directors of OptimumBank approved a dividend to OptimumBank Holdings, Inc. The Holding Company, in turn, authorized a capital investment into OptimumFunding to support initial operations and platform development. OptimumFunding has been structured to operate independently while remaining fully aligned with the Company's governance, compliance, and risk management frameworks.

OptimumBank has selected IBN to spearhead its corporate communications efforts. As part of the client-partner relationship, IBN will leverage its investor-focused distribution network, which includes over 5,000 key syndication outlets, various newsletters, social media channels, and wire services via InvestorWire, along with blogs and other outreach tools, to generate greater awareness for OptimumBank Holdings and enhance shareholder value through improved market presence and brand visibility.
OptimumBank anticipates asset sales will total $1.5B-$1.6B by the close of 2026 (August 12)
OptimumBank on August 12 clarified statements made during its Q2 earnings webcast on August 7. "During the question-and-answer session, a member of the audience inquired about the company's projected total assets at the end of 2026. In their response, both Chairman of the Board Moishe Gubin and Chief Executive Officer Tim Terry mistakenly provided the company's projection for the end of 2025," OptimumBank said in a statement. OptimumBank "is on track to continue its strong annual growth trajectory, which has consistently been in the range of 25% to 30% per year," it added. OptimumBank reiterated its strategic plan to exceed the $1.2B asset mark by the end of 2025. "Building on this momentum and sustained annual growth of 25% to 30%, the Company projects total assets will reach between $1.5 billion and $1.6 billion by the end of 2026," the company noted.

"We are proud to report strong and resilient performance during the second quarter of 2025," said Moishe Gubin, Chairman of the Board. "While industry headwinds continue, our team at OptimumBank delivered meaningful core earnings through disciplined deposit pricing, targeted growth in consumer and multi-family lending, and improved operating leverage. Although overall loan balances declined this quarter due to the payoff of older, lower-yielding loans, we remain well positioned to redeploy capital into higher-return opportunities. Our results demonstrate our ability to manage a growing asset base while maintaining solid credit quality and capital strength."
