Nocera Forms 50/50 Joint Venture with Inergx
Nocera announced that it has entered into a binding term sheet with Inergx Energy Optimisation to form Nocera-INERGX Energy Ventures, a 50/50 joint venture intended to identify, fund, acquire, develop and commercialize companies, technologies and infrastructure projects across the mission-critical energy value chain. The joint venture is expected to pursue opportunities spanning Battery Energy Storage Systems, distributed energy infrastructure, artificial intelligence-enabled energy management, power electronics, battery technologies, renewable energy technologies and direct infrastructure ownership. The joint venture marks a decisive expansion of the relationship between the two companies. On July 8, Nocera announced a binding agreement to acquire an equity interest in Inergx, establishing Nocera as a shareholder in one of the more differentiated integrated energy platforms emerging in the AI infrastructure ecosystem. The joint venture takes that relationship a substantial step further: Nocera and Inergx intend to build and own new assets together, side by side, through a dedicated 50/50 vehicle purpose-built for acquisition and deployment.
Nocera Acquires 30% Controlling Interest in Qmax
Nocera announced that it has acquired a 30% controlling interest in Qmax Technology, a Taiwan-based memory and storage solutions company, through a variable interest entity structure pursuant to which the company issued 300,000 shares of restricted common stock, par value $0.001 per share, to Chien-Hua Tseng, the registered holder of such equity interest. The controlling interest is held through a series of VIE agreements entered into on July 28 with Tseng, and became effective upon signing. Through this transaction, Nocera gains established memory sales qualifications, vendor authorizations and distribution relationships covering DRAM modules, server memory and solid-state storage. The 300,000 consideration shares were valued at $1.36 per share, based on the closing price of the company's common stock on Nasdaq on July 27, the first trading day immediately preceding the effective date, for an aggregate purchase price of $408,000. No cash consideration was paid. The shares were issued in reliance on Regulation S and/or Section 4 of the Securities Act of 1933, as amended. The shares bear a restrictive legend and are subject to a lock-up / leak-out arrangement. The 30% controlling interest is held through a Variable Interest Entity structure comprising a voting rights proxy, an equity pledge, an exclusive call option exercisable in accordance with applicable Taiwan law, and an exclusive business cooperation agreement.
