VisionWave Updates on CM Israel Acquisition Progress
VisionWave provided a strategic update on its previously announced proposed acquisition of a 51% equity interest in CM Israel. The proposed transaction was previously described in the company's current report on form 8-K filed with the SEC on February and in the company's quarterly report on Form 10-Q for the quarterly period ended March 31. The proposed transaction has not closed. Completion remains subject to conditions precedent that have not been satisfied as of the date of this release, including the execution and effectiveness of definitive joint venture agreements with Belrise Industries Limited. There can be no assurance that the proposed transaction will be completed on the terms described in this release, on the anticipated timetable, or at all. CM Israel holds certifications for its composite manufacturing processes - which are credential requiring years of regulatory qualification, capital investment and continuous quality audits. The company's diligence with respect to CM is ongoing and has not been completed.
Foresight Partners with VisionWave for Strategic Cooperation
Foresight Autonomous (FRSX) announced that it has entered into a strategic cooperation agreement with VisionWave (VWAV) to jointly advance next-generation autonomous defense and unmanned ground vehicle technologies. The strategic cooperation establishes a framework to integrate Foresight's advanced stereoscopic 3D perception and computer vision technology, utilizing visible-light and infrared cameras and advanced image-processing algorithms, into VisionWave's Varan modular autonomous unmanned ground vehicle platform. The collaboration is designed to advance the development of intelligent autonomous defense systems capable of enhanced environmental perception, object detection, distance measurement and three-dimensional situational awareness, including in challenging weather, poor visibility and low-light operating environments. Under the agreement, Foresight and VisionWave intend to jointly develop an autonomy-enabled VARAN UGV incorporating Foresight's advanced perception technology, combining VisionWave's modular autonomous ground platform with Foresight's sensing and machine-vision capabilities, subject to the negotiation and execution of one or more definitive agreements.
VisionWave Acquires Controlling Interest in D-Fence, Valued at $5M
VisionWave Holdings announced the execution of a term sheet to acquire a controlling interest in D-Fence Electronic Fencing Systems, an Israeli developer of AI-powered perimeter security and electronic fencing systems. Under the terms of the term sheet, VisionWave intends to acquire at least 51% of D-Fence in exchange for VisionWave common stock. VisionWave will also receive an option to acquire the remaining 49% of D-Fence during the following two years. The initial acquisition contemplates an implied valuation of approximately $5M, with the remaining equity subject to an implied valuation of approximately $20M. The parties currently anticipate executing a definitive share purchase agreement on or before September 30, with closing expected during October.

VisionWave announced that it has filed an application for international registration under the Madrid Protocol for its VisionWave Stratum trademark, seeking to expand intellectual property protection for the company's AI platform into several strategic international markets. The international application designates the European Union, the United Kingdom, Israel, and the United Arab Emirates.
