Volato Group Merges with Alignment Engine Valued at Approximately $500M
Volato Group announced that it has entered into a definitive agreement to merge with Alignment Engine, an AI infrastructure company, in a transaction valuing Alignment Engine at approximately $500M. The transaction repositions Volato around advanced AI infrastructure, high-performance computing and data center development through Alignment Engine's powered industrial campus in Ohio. "When we announced our move into AI infrastructure, we said we were looking for an opportunity capable of fundamentally changing the scale and direction of Volato," said Matt Liotta, Chief Executive Officer of Volato. "We have spent the intervening months working rather than talking. Alignment Engine is the result."
Volato Group Launches Volato AI Commercial Platform
Volato Group (SOAR) announced the commercial launch and first enterprise deployment of Volato AI. Flyte, a technology-enabled regional air mobility company owned by Catheter Precision (VTAK), will serve as the platform's inaugural enterprise customer. "We believe artificial intelligence will fundamentally reshape how aviation businesses operate," said Matt Liotta, Chief Executive Officer of Volato Group. "Operators should not have to become AI companies to benefit from this technology. Our objective is to provide intelligent digital teammates that understand aviation and can support experienced professionals from the beginning. That allows employees to spend less time on repetitive administrative work and more time serving customers, strengthening operations, and making higher-value decisions."
Volato Group's Vaunt Completes First International Flight
Volato Group announced that Vaunt has successfully completed its first international member flight, marking the platform's expansion beyond the United States. The inaugural flight, completed on July 12, carried Vaunt members from Florida to The Bahamas through one of the platform's participating air carriers. The milestone demonstrates Vaunt's ability to support qualifying international flight opportunities while expanding the experiences available to members and the monetization opportunities available to operators.
Vaunt Eliminates Convertible Notes, Q2 Cash Sales Reach $2.2 Million
Preliminary Second Quarter 2026 Highlights: All outstanding convertible notes were eliminated during the second quarter, leaving the Company with no convertible notes outstanding as of June 30. Total liabilities, excluding deferred revenue, declined approximately 75% year-over-year to approximately $5M. Deferred revenue is a non-cash liability and is excluded to provide investors with additional insight into the Company's cash obligation. Cash and cash equivalents of approximately $8.4M as of June 30. Record Vaunt cash sales of approximately $2.2M, representing 56% sequential growth compared to the first quarter of 2026 and 199% growth year-over-year. Vaunt Annual Recurring Revenue projected to reach approximately $4.7M as of June 30, representing 51% sequential quarter-end growth and 250% year-over-year growth. Vaunt membership: Approximately 2,743 active paid members, up 20% sequentially and 71% year-over-year. App downloads: Approximately 346,000 cumulative downloads. More than 2,500 flights booked and flown through the Vaunt platform since launch.
Volato Group Closes $2.2M Financing
Volato Group (SOAR) announced the closing of a $2.2M private investment in public equity financing priced at $0.34 per share. The financing strengthens Volato's balance sheet and provides additional capital flexibility as the Company advances its AI-focused strategy, including the application of its artificial intelligence technology, aviation operating experience, and software development capabilities to private aviation and other software-enabled markets. Volato is also evaluating acquisition, merger, and strategic combination opportunities from companies seeking to leverage its public-company platform, technology assets, and operating expertise. The transaction was completed with a group of strategic investors led by Catheter Precision (VTAK), the parent company of Flyte, a technology-enabled regional air mobility platform. The Company issued an aggregate of 6.5 million shares of common stock in the transaction, generating approximately $2.2M in gross proceeds.
