Picard Medical Approves 1-for-50 Reverse Stock Split
Picard Medical announced that its Board of Directors has approved the implementation of a 1-for-50 reverse stock split of the Company's issued and outstanding common stock. As disclosed in the Company's Current Report on Form 8-K filed on July 21, 2026, the Company's stockholders approved an amendment to the Company's Second Amended and Restated Certificate of Incorporation at the annual meeting of the stockholders held on July 17, 2026, authorizing a reverse stock split of the Company's common stock at a ratio in the range of 1-for-15 to 1-for-50, with the ratio, implementation and timing to be determined by the Board in its sole discretion. The Board subsequently determined to effect the Reverse Stock Split at a ratio of 1-for-50. The Reverse Stock Split is expected to become effective at 5:00 p.m. Eastern Time on July 31, 2026, with the Company's common stock expected to begin trading on a split-adjusted basis at the opening of trading on August 3, 2026 under the existing NYSE American ticker symbol, "PMI" with a new CUSIP number of 71953R 207.
Picard Medical Changes CEO, Richard Fang Appointed Interim CEO
Picard Medical announced a leadership transition. Patrick Schnegelsberg has stepped down as CEO and as a member of the company's board of directors, effective June 18. The company said Schnegelsberg's departure was not the result of any disagreement with the company on any matter relating to its operations, policies, or practices. Effective June 18, the board appointed Richard Fang, executive chairman of the board, as interim CEO. Fang will serve as interim CEO while the board conducts a search for a permanent CEO and will continue serving as chairman of the board.
Picard Medical Completes Next-Gen Artificial Heart Implant Study
The company states: "Picard Medical announced the successful completion of an acute in vivo implant study series using the Company's next-generation Emperor Total Artificial Heart Platform at the University of Arizona and Banner University Medical Center in Tucson. The animal study evaluated the latest iteration of the Emperor TAH, an electromechanically actuated system designed to build upon the established blood-contacting architecture and extensive clinical experience of the SynCardia Total Artificial Heart while advancing patient mobility and supporting the future development of a fully implantable artificial heart system. Initial preclinical data from the first-generation Emperor TAH, completed in late 2025, were subsequently presented at the American College of Cardiology and at the International Society for Heart & Lung Transplantation 2026 conferences. Compared to the previous generation device, the latest iteration incorporates an independent dual motor ventricular system enabling side-specific control of systemic and pulmonary circulation. The system is designed to support physiologic responsiveness while preserving the underlying pumping principles and autoregulatory characteristics of the STAH." Shares are up 116% in pre-market at $0.36.
Picard Medical Highlights Successful Heart Transplant Case Using Total Artificial Heart
Picard Medical, parent company of SynCardia Systems, maker of the world's first total artificial heart approved by both the U.S. FDA and Health Canada, highlighted a case reported by UCSF Health in which a patient in his twenties with advanced biventricular heart failure was successfully bridged to heart transplantation using the SynCardia Total Artificial Heart. The patient, a male in his twenties, received the SynCardia Total Artificial Heart on November 15, 2025 to restore full circulatory support while awaiting a donor heart. After 119 days of support with the device, the patient underwent a successful heart transplant on March 14, 2026. This case represents the second of five patients at UCSF Health who have been successfully bridged to transplantation using the SynCardia Total Artificial Heart.
