Mingteng International Prices 1.48M Class A Shares at $2.00 Each
Mingteng International announced the pricing of its registered direct offering of 1.48M Class A ordinary shares at a purchase price of $2.00 per share, and pre-funded warrants to purchase Class A Ordinary Shares at an original exercise price of $2.00, with $1.99995 of the original exercise price pre-funded at the closing, and a remaining exercise price of $0.00005 per Class A Ordinary Share. In a concurrent private placement, the company also issued to the same investors unregistered warrants to purchase up to 1.48M Class A Ordinary Shares at an exercise price of $2.00 per Class A Ordinary Share. The Private Warrants are exercisable from the closing and will expire 18 months from the date of issuance. The gross proceeds from the offering and the concurrent private placement will be approximately $2.96M, before deducting placement agent fees and other offering expenses. The offering is expected to be closed on or about June 18. FT Global Capital is acting as the exclusive placement agent for the offering.

Mingteng subsidiary entered into strategic cooperation agreement with Lvkon
Mingteng International announced that its subsidiary, Wuxi Mingteng Mould Technology, or Wuxi Mingteng, entered into a strategic cooperation framework agreement with Suzhou Lvkon Transmission Technology in July 2025, an innovative leading enterprise focusing on the power transmission systems for new energy commercial vehicles in China. Pursuant to the Agreement, both parties agree to focus their collaboration on key areas, including mold design and production and the integrated delivery of new energy aluminum alloy components. The partnership aims to strengthen primary cooperation in die-casting and foundry molds supply and procurement, while fostering deeper engagement through high-level management communication as well as the exchange of industry insights.
Mingteng International, Jilin University partner to develop hot-work die steel
Mingteng International's Wuxi Mingteng Mould Technology signed a technology development entrustment agreement with Jilin University to collaborate on the development of a new hot-work die steel for die-casting molds, effective from December 26, 2024 to December 26, 2027. This strategic initiative aims to enhance the Company's technical capabilities to align with international industry leaders while tapping into the growing demand for high-quality aluminum alloy die-castings. Following the Entrustment Agreement, Wuxi Mingteng has agreed to commission JLU and provide background technical data to jointly develop the new hot-work die steel for die-casting molds. In return, Wuxi Mingteng will be granted free usage right for any patents resulting from the development project. Upon completion of the three-year development project, the Company expects an average die-casting lifespan exceeding 80,000 cycles, significantly better thermal fatigue performance compared to imported 8407 die steel, and a 40% reduction in overall material costs. Wuxi Mingteng has also completed fabrication of molds using the first batch of trial die steel materials under the development project. These molds have been delivered to selected customers for preliminary application testing. Based on initial customer observations, the materials have performed in accordance with expectations. Wuxi Mingtengy intends to proceed with further small-batch validation to continue assessing consistency and suitability for commercial use.
