Alpha Compute Completes $6M Toncoin Return
Alpha Compute initiated the return of the final tranche of locked and liquid Toncoin holdings to Brisk Thrive and Hogarth Ventures, affiliates of Animoca Brands. The return is approximately $6M worth of TON and removes the liabilities tied to the TON Put Options, completing the orderly wind-down of the Company's legacy Telegram-focused Digital Asset Treasury and formally closing that line of business. With this step complete, Alpha Compute no longer holds digital assets as a balance-sheet treasury position. From this point forward, the Company will hold Telegram GRAM tokens solely as earned consideration for the AI confidential compute it delivers to Telegram's Cocoon AI network-tying any token exposure directly to contracted work performed rather than to a speculative investment thesis. The move completes the Company's transformation from the treasury-oriented model of its predecessor, AlphaTON Capital Corp., into an operating company built around sovereign AI compute infrastructure. The Digital Asset Treasury was a structural feature of the Company's prior identity as AlphaTON Capital when holding Telegram-ecosystem tokens on the balance sheet was central to the business model. Following the April 20 rebrand to Alpha Compute Corp. and the Company's full strategic pivot to GPU-as-a-Service and confidential computing, the DAT became the last remaining vestige of that capital-vehicle structure. Today's announcement retires it. The Company will hold only a minor amount of $200,000 worth of TON after this transaction, which is being returned to the final legacy shareholder as permitted through Telegram's Novation agreements.
Alpha Compute Completes 60% Acquisition of GAMEE
Alpha Compute announced the successful closing of its majority acquisition of GAMEE, the gaming and digital rewards platform. This transaction also establishes Alpha Games, Alpha Compute's new AI gaming division, which will be led by GAMEE's founder Bozena Rezab as Executive Vice President. Under the terms of the definitive agreement, Alpha Compute has acquired a 60% controlling interest in GAMEE from Animoca Brands, at an implied GAMEE valuation of $18M, for total consideration of up to $11M.
Alpha Compute Signs $32.2M Lease Agreement with AI Lab
Alpha Compute closed a definitive lease agreement with am artificial intelligence laboratory for the Company's inaugural enterprise-scale NVIDIA B200 GPU deployment located in its Canadian data center. The two-year agreement has a total contract value of $32.2M and delivers $16.1M in Annual Recurring Revenue to Alpha Compute, with an expected upfront payment of $7.5M securing the reservation of compute capacity for two years.
Alpha Compute Updates NVIDIA Infrastructure, Projected Annual Revenue of $72M
Alpha Compute provided an update on the deployment status of its NVIDIA Blackwell GPU infrastructure, noting that once fully operational, the combined footprint of currently planned deployments is projected to generate $72M in annual revenue. The company confirmed that its first large-scale cluster, a 504-chip NVIDIA B200 server deployment located in Canada, is in final testing and targeted for handover to customers on May 8. The cluster was originally targeted for a March 31 launch but was pushed back due to supply-chain delays. Additionally, Alpha Compute announced it has secured a binding term sheet for bridge financing to fund its second major deployment in Sweden, targeted to go live in June. "The May 8 handover marks a pivotal milestone - the moment our infrastructure business moves from pipeline to production. Our machines are in final testing, and customers will be coming online shortly. We've been building secure infrastructure for frontier AI workloads, and that infrastructure is now reaching enterprise-scale deployments," said Brittany Kaiser, CEO.
Alpha Compute Updates GAMEE Acquisition Timeline to May
Alpha Compute, formerly AlphaTON, provided an update on its previously announced acquisition of a 60% controlling interest in GAMEE, a mobile gaming platform and wholly owned subsidiary of Animoca Brands. The Company confirms that closing of the transaction is now expected in May, following the completion of GAMEE's 2025 annual financial audit, which is required as a condition to close. On March 19, AlphaTON Capital entered into a definitive Share Purchase Agreement to acquire a 60% controlling interest in GAMEE for total consideration of up to $11M, structured to include a performance-linked earn-out over two years. The transaction values GAMEE at an $18M enterprise valuation, incorporating EBITDA-contingent earn-outs designed to mitigate upfront consideration risk. Concurrent with signing, AlphaTON and Animoca Brands formalized a Strategic Alliance to identify and develop commercial opportunities across blockchain and social gaming. Alpha Compute confirms that the completion of the GAMEE acquisition, originally targeted for April, has been extended to May. The revised timeline reflects the time required to finalize GAMEE's 2025 annual financial audit, a customary closing condition under the terms of the Share Purchase Agreement. The Company does not anticipate any material impediments to closing and expects all remaining conditions to be satisfied in the ordinary course. Importantly, Alpha Compute shares will be valued at $1.00 per share at the time of closing, establishing a clear reference price for the equity component of the transaction consideration.
