U.S. Gold Corp. Closes Private Placement of 1.92M Shares, Raising $31.2M
"U.S. Gold Corp. announced that we have closed a private placement of 1,922,159 shares of our common stock at a price of $16.25 per share and warrants to purchase 961,077 shares of our common stock at an exercise price of $23.00 per share, pursuant to a securities purchase agreement entered into with certain investors, resulting in total gross proceeds of approximately $31.2 million. The Warrants are immediately exercisable and will expire two years after the initial issuance date. Pricing of the Offering Shares was set based on the close price of our common shares on Monday December 15, 2025 of $16.91, representing an approximate 4% discount to the close price."
U.S. Gold's Subsidiary Enters Agreement with Black Hills' Subsidiary
U.S. Gold (USAU) announced that Gold King, a wholly-owned subsidiary of U.S. Gold, has executed a contract with Cheyenne Light, Fuel and Power, or CLFP, a subsidiary of Black Hills (BKH), the first step toward construction of the powerline to serve the CK Gold Project leading to the development of its wholly owned CK Gold Project situated in southeast Wyoming, U.S.A. CLFP is expected to begin pre-construction planning, engineering and procurement activities in preparation for the potential construction of facilities as would be necessary to provide power and energy to the Project. It is anticipated that the 30MW of power needed by the Project will be provided from CLFP's electric power system to the Project.
White House to clarify gold bars not subject to tariffs, Bloomberg says
A White House official said the Trump administration plans to issue a new policy clarifying that imports of gold bars should not face tariffs after the government surprised traders by ruling that they would, Jennifer Dlouhy of Bloomberg reports. The White House intends to post an executive order shortly to clarify what an official called misinformation about the tariffing of gold and other specialty products, according to Bloomberg.
