SNDL Q2 Results Show Market Softness, Expected Annual Revenue Over $1B
"Our Q2 results reflect the impact of continued market softness across our core operating segments, as well as temporary production inefficiencies," said CEO Zach George. Combined with its accretive margin profile, this transaction positions SNDL as a leading vertically integrated cannabis operator, with the potential to exceed $1B in annual revenue and become the largest cannabis retailer in North America by store count".
SNDL Cancels Acquisition of Ontario Retail Locations
SNDL announced that the transaction relating to the acquisition of the remaining 1CM Ontario retail locations is not expected to proceed following a prolonged regulatory review process that extended beyond commercially reasonable timelines contemplated by the parties.The provincial regulatory approvals required in Ontario to complete the Second Closing will not likely be obtained prior to the outside date of May 31, and as such, the Second Closing is not expected to proceed. SNDL completed the first closing under the A&R Arrangement Agreement, pursuant to which SNDL acquired five cannabis retail stores located in Alberta and Saskatchewan from 1CM. That transaction was completed and remains unaffected by this update. SNDL intends to reallocate the capital previously reserved for the Ontario acquisition toward share repurchases under its existing share repurchase program which authorizes SNDL to repurchase up to $100M of its outstanding common shares through November 20. Under SNDL's current Share Repurchase Program, SNDL has repurchased more than 5.5 million shares since March 31, valued at approximately $11.1M.

SNDL reveals continuation of share buyback initiative
SNDL announced that it has received approval from the Canadian Securities Exchange for the renewal of its share repurchase program. The Share Repurchase Program authorizes the company to repurchase up to C$100M of its outstanding common shares from time to time at prevailing market prices, enabling SNDL to opportunistically return value to shareholders. Pursuant to the Share Repurchase Program, SNDL may purchase shares from time to time at the discretion of management through open market purchases, privately negotiated transactions, block trades, derivatives, accelerated or other structured share repurchase programs, or other means. The manner, timing, pricing and amount of any transactions will be subject to the discretion of SNDL and may be based upon market conditions, regulatory requirements and alternative opportunities that SNDL may have for the use or investment of its capital.
