BIMIZCI Fund Urges Shareholders to Support Board Nominees
BIMIZCI Fund LLC, Warnke Investments LLC, ZimCal Asset Management, LLC and Stephen Hodges, long-standing holders of Medallion Financial trust preferred securities and currently the 4th largest institutional stockholder with 500,250 shares, announced that both leading independent proxy advisory firms, Institutional Shareholder Services and Glass, Lewis & Co., have recommended that Medallion stockholders vote on the BLUE proxy card FOR the election of BIMIZCI nominees Eric Kelly and John Kiernan to the company's Board of Directors at the upcoming 2026 Annual Meeting of Stockholders to be held on June 9, 2026. Both ISS and Glass Lewis further recommended that stockholders WITHHOLD support from incumbent Executive Chair Alvin Murstein and Nominating & Governance Committee Chair Cynthia Hallenbeck. "The recommendations from ISS and Glass Lewis validate the core themes of BIMIZCI's campaign and the concerns we have raised directly with stockholders, including the entrenchment of the Murstein family, the Board's failure to hold management accountable in the wake of the Federal Judgment and the SEC's permanent injunctions against Andrew Murstein and Medallion Financial, deteriorating credit metrics across the Company's core lending segments, and a pattern of governance practices designed to insulate incumbents from accountability. BIMIZCI believes that in addition to these concerns, there is the looming threat of frontier technology, such as AI, that will threaten and upend existing consumer finance companies in ways we cannot even fully envision yet."

Reports Q4 net interest income $56.4M, consensus $56.2M. Total net income attributable to stockholders was $12.2M, compared to $10.1M vs. last year. Loan originations grew to $421.3M vs. $285.7M last year, driven by $258.3M in strategic partnership originations. Net interest margin on gross loans was 8.04% vs. 7.84% last year. "2025 marked a record year for Medallion, with solid performance across our core financial metrics and operating segments," said CEO Andrew Murstein.

Reports Q3 book value per share $17.07. Andrew Murstein, President and Chief Operating Officer of Medallion Financial, commented, "We are very pleased with our continued strong results. This quarter we reached record highs in net interest income, loan volume and total assets. We had a 31% increase in net income year-over-year when excluding the $3.5 million non-recurring charges related to the redemption of the Bank's series F preferred stock, and continued momentum across our core lending businesses. Net interest margin continued to improve on both gross and net loans. Our diverse business lines delivered meaningful contributions, with higher interest income and disciplined execution supporting strong financial performance. The loan portfolio continued to grow, reaching $2.56 billion, and loan originations reaching $427 million at the end of the quarter."
Medallion CEO Alvin Murstein to Transition Roles, Andrew Murstein to Take Over
Medallion Financial announced that its board of directors has appointed Andrew Murstein as CEO effective January 31, 2026. Andrew Murstein will continue to serve as president, COO and a member of the board of directors. In his expanded role, Andrew Murstein will drive the company's overall strategic direction, overseeing capital allocation, risk management, and operational efficiency, aiming to improve overall shareholder value. Alvin Murstein, who has led the company and the predecessor companies for the past 60 plus years, will become executive chairman. He is expected to serve as executive chairman until May 2027, after which he will retire from such position. The transition is part of a planned leadership succession process designed to ensure continuity and sustained strategic growth.
