Genasys Protect Integrated with PulsePoint App
Genasys announced that Genasys Protect has been integrated with PulsePoint Foundation's Respond app. PulsePoint Foundation develops technology to help public safety agencies create lifesaving partnerships with their communities. The integration embeds Genasys Protect alerts and advisories directly within the PulsePoint Respond app, reaching users in 5,775 communities at launch. Genasys Protect empowers emergency managers to target specific geographic zones with timely, actionable information and guidance during wildfires, flooding, hazardous material incidents, and other public safety threats. When a Genasys zone overlaps the jurisdictional boundaries of one or more PulsePoint-connected communities, messages are also sent to PulsePoint followers in those communities. PulsePoint directs these users to the Genasys Protect zone map and any agency resources included in the message, such as shelter locations or event landing pages. Throughout the event lifecycle, PulsePoint continues to display the latest Genasys messages and zone statuses within the Respond app.

Company Expects Q3 Revenue Between $7.0M and $7.5M
Based on preliminary unaudited results, the Company expects total revenue for the fiscal third quarter to range between $7.0 and $7.5 million. Revenue for the quarter was primarily impacted by two factors. The first was supply chain constraints associated with the Common Remotely Operated Weapon Station (CROWS) II Technical Refresh program. This constraint has since been resolved, and the Company expects the order to be completed in its fiscal fourth quarter. The second was a deliberate pause in execution of the Puerto Rico Dams Early Warning System (EWS) project pending receipt of customer payments. After the end of the fiscal third quarter, the Company began receiving those payments. Accordingly, the Company has remobilized on the island and expects work to accelerate throughout its fiscal fourth quarter. Backlog exiting the quarter was approximately $69 million. For the fiscal third quarter, gross margins are expected to range from 55% to 58%, and adjusted EBITDA loss is expected to range between ($3.0) and ($3.3) million.
Genasys Extends $15.2M Loan Maturity to July 2027
Genasys announced that the Company has entered into and closed a Third Amendment to the Company's Term Loan and Security Agreement. Under the Third Amendment, the maturity date of the term loan, which has an initial principal amount of $15.2M, has been extended to July 13, 2027, with the interest rate maintained at three-month SOFR plus 5%. The Third Amendment is subject to additional terms, conditions and incentives, including a guaranteed minimum rate of return of 20% and requires the Company, beginning October 1, 2026, to make monthly payments of $1M towards amortization of the term loan, with each such payment including the MOIC on the principal repaid. The amended structure replaces quarterly interest payments and a single balloon payment at maturity with scheduled monthly payments, allowing the Company to retire the debt gradually from operating cash flow while preserving liquidity throughout the term. Backed by a strong backlog and growing pipeline, the Company is confident in its ability to satisfy the full obligations of the Term Loan Agreement over the next 12 months.
Genasys Secures $3.0M Order for U.S. Army
Genasys announced a follow-on $3.0M Acoustics order for the U.S. Army. The 360XT mass notification and public address system is integrated with a heavy duty military grade trailer featuring steel enclosures that house amplifiers and pneumatic systems that power dual emitters and extend the system's sturdy 30 ft. mast. The 360XT's battery bank and charging system provide power for up to 24 hours of continuous, full volume voice broadcasts in the field.
