Cue Biopharma Completes $50 Million Private Placement

Cue Biopharma announced that it has entered into a securities purchase agreement with a group of accredited investors for the private placement of 1.418M shares of common stock at a purchase price of $33.21 per share and to certain investors, in lieu of shares of common stock, pre-funded warrants to purchase up to 87,500 shares of common stock at a price per pre-funded warrant of $33.209, for gross proceeds of approximately $50M. The private placement is expected to close on or about July 13, subject to the satisfaction of customary closing conditions. The pre-funded warrants will have an exercise price of $0.001 per share, be immediately exercisable, and remain exercisable until exercised in full. The private placement was led by Cormorant Asset Management, with participation from additional new investment funds including Columbia Threadneedle Investments. The company intends to use the net proceeds from the private placement to further fund clinical development and for other general corporate purposes.

Cue Biopharma Board Transition with New Appointments

Cue Biopharma announced the transition of its board as the company advances its strategic growth and development efforts. Effective May 29, four independent directors have resigned from the board. Simultaneously, the company appointed Daniel Camardo and Viola Meehan as new directors. Camardo currently serves as President of Immedica Pharma North America, and Meehan is an independent director for the Federal Savings Bank with over 30 years of finance and board experience.
