111, Inc. announced that it has received notification from The Nasdaq Stock Market on February 10 confirming that Nasdaq has determined that for the last ten consecutive business days, from January 24 to February 7, the closing bid price of the company's American Depositary Shares has been at $1.00 per share or greater. Accordingly, the company has regained compliance with Listing Rule 5450(a)(1). Nasdaq noted this matter is now closed.
111, Inc. announces one-for-twenty ADS ratio change
111, Inc. announced that it plans to change the ratio of its American Depositary Shares to Class A ordinary shares from one ADS representing two Class A ordinary shares to the new ratio of one ADS representing twenty Class A ordinary shares. For the company's ADS holders, this ratio change will have the same effect as a one-for-ten reverse ADS split. There will be no change to 111's underlying Class A ordinary shares, and no Class A ordinary shares will be issued or cancelled in connection with this ratio change. No action is required by the company's ADS holders to effect the ratio change, as the change will be effected on the books of the ADS depositary. Following the ratio change, 111's ADSs will continue to be traded on Nasdaq under the ticker symbol (YI). The effect of the ratio change on the ADS trading price on Nasdaq is expected to take place at the open of business on January 24. As a result of the change in the ADS ratio, the ADS price is expected to increase proportionally, although the company can give no assurance that the ADS price after the change in the ADS ratio will be equal to or greater than ten times the ADS price before the change.
111, Inc. announces South, Central China fulfillment centers begin operations
111, Inc. announced that new fulfillment centers in South and Central China began operations in Guangzhou, Guangdong Province, and Wuhan, Hubei Province, respectively. The two new centers expand the scale and capabilities of 111's existing operations in the South and Central China regions. The additional fulfillment centers bring the total number in 111 operations to 13 across China, ensuring a more robust and agile warehousing and distribution network nationwide.
111, Inc. discloses Nasdaq listing deficiency notice
111, Inc. announced it has received a notification letter dated September 26, 2024 from the staff of the Listing Qualifications Department of The Nasdaq Stock Market LLC, indicating that for the last 30 consecutive business days, the closing bid price of the Company's American depositary shares was below the minimum bid price of US$1.00 per share requirement set forth in Nasdaq Listing Rule 5450(a)(1). The Notice has no current effect on the listing or trading of the company's ADSs on Nasdaq. The company's business operations are not affected by the Nasdaq notification letter. The company intends to monitor the closing bid price of its ADSs between now and March 24, 2025 and will take all reasonable measures in order to regain compliance with the Nasdaq minimum bid price requirement.
