Wearable Devices Secures New Patent Enhancing User Authentication Technology
Wearable Devices announced that the U.S. Patent and Trademark Office has granted a new continuation patent in its foundational patent family titled Gesture and Voice-Controlled Interface Device. This continuation patent significantly strengthens the company's intellectual property portfolio by covering technologies relating to authentication of users based on combined gesture and unique biological signals. The granted claims cover a gesture interface device and method that combine gesture sensors with biopotential sensors to record neural signals when the device is worn. The technology described in the granted claims may enable powerful new use cases such as secure payments, user detection, and authorization of sensitive actions, providing a seamless, secure, and intuitive layer of biometric protection on top of the company's hybrid voice-and-gesture control platform.
Wearable Devices Enters Agreement to Issue 1M Ordinary Shares with Institutional Investor
Wearable Devices announced that it has entered into a securities purchase agreement with a single institutional investor, for the purchase and sale of 1M ordinary shares and warrants to purchase up to 1M ordinary shares at a combined purchase price of $3.285 per share and accompanying warrant in a private placement, priced at-the-market under Nasdaq rules and above the last closing price. The gross proceeds from the offering are expected to be approximately $3.3M, before deducting placement agent commissions and other offering expenses. The warrants will have an exercise price of $3.16 per share, will be exercisable immediately upon issuance, and will expire five years following the date of issuance. The closing of the offering is expected to occur on or about August 3. The company currently intends to use the net proceeds from the offering for the continued commercialization of its Mudra products, development and manufacturing of its next-generation product lines, advancement of its AI6 Labs initiatives, including in the Physical AI and Robotics vertical, potential strategic transactions, and for working capital and other general corporate purposes. A.G.P./Alliance Global Partners is acting as the sole placement agent for the offering.
