SU Group Secures HK$18.8M Hospital Expansion Contract
SU Group Holdings announced that it has secured a follow-on award valued at HK$18.8M, approximately $2.4M, for a major hospital expansion and upgrade project. The new award builds on the Company-record HK$88.5M, approximately $11.3M, contract announced in July 2025 and increases the combined value of SU Group's disclosed contracts for the project to approximately HK$107.3M, $13.7M. The subcontract covers three integrated systems operating over the hospital's TCP/IP Ethernet network: A critical healthcare communications network that enables patients to request immediate assistance and connects patient stations with staff-alert devices and visual indicators, A network of smart meters, sensors and software that continuously monitors and analyzes electrical stability, helping protect life-support systems and other essential medical equipment, Lighting Management System: An intelligent digital network that automates and optimizes lighting across clinical, patient and operational areas, supporting care delivery, patient comfort and energy efficiency.
SU Group Signs Tripartite MoU with Macau Security Services Association
SU Group announced that its subsidiary, Fortune Jet Management & Training Co., has signed a three-party memorandum of understanding to develop an integrated security training, certification and practical-experience platform serving enterprises across Greater China. Fortune Jet entered into the MoU with Bastion Strategy Education Consulting Co., Ltd. and the Security Services Commercial Industry Association of Macau. The collaboration brings together Mainland China market access and technical resources, Hong Kong-based training standards and certification capabilities, and Macau's role as an international commercial gateway. The parties intend to develop a long-term strategic partnership centered on a three-stage talent development framework: "Shenzhen Training, Hong Kong Training and Certification, and Macau Practical Experience." The program will target large-scale Mainland Chinese security enterprises seeking to modernize their operations, strengthen management capabilities and expand their access to Hong Kong and Macau. Planned services include management consulting, executive training, professional certification and cross-border business development support.

SU Group Holdings Announces 1-for-5 Reverse Stock Split
SU Group Holdings Limited announced that it will effect a 1-for-5 reverse stock split of its class A ordinary shares, par value HK$0.000001 per share. This action was approved by the board of directors of the company on July 23, 2026 and by written resolution of the company's majority shareholders on July 23, 2026. The Share Consolidation will become effective at 12:01 a.m. Eastern Time on Thursday, August 6, 2026, and the company's Class A Ordinary Shares will commence trading on the Nasdaq Capital Market on a post-split basis at the opening of the market on Thursday, August 6, 2026.
SU Group Receives Nasdaq Delisting Notice
SU Group announced that on August 3, 2026, it received a written determination letter from the Listing Qualifications Department of The Nasdaq Stock Market, notifying the company that Nasdaq has determined to delist the company's Class A ordinary shares from The Nasdaq Capital Market unless the company timely requests a hearing before a Nasdaq Hearings Panel. Because the Company effected a one-for-ten share consolidation, or reverse stock split, on August 25, 2025, Nasdaq Listing Rule 5810(c)(3)(A)(iv) provides that the company is not eligible for the compliance period that would otherwise be available under Nasdaq's standard minimum bid price deficiency framework. Accordingly, Nasdaq issued the Staff Determination, subject to the company's right to appeal the determination to the Panel. The Company intends to timely request a hearing before the Panel pursuant to Nasdaq Listing Rule 5815(a). Consistent with the Staff Determination, a timely hearing request will stay the suspension of trading in the company's Class A ordinary shares and the filing of a Form 25-NSE pending the Panel's decision. Accordingly, the Staff Determination has no immediate effect on the listing or trading of the company's Class A ordinary shares, which will continue to trade on The Nasdaq Capital Market under the symbol "SUGP" during the hearing process. If the company regains compliance with the minimum bid price requirement prior to the hearing, it may not be necessary for the company to proceed to the Panel hearing.
