Erayak Sees Surge in Demand for Portable Generators
Erayak Power Solution Group provided a business update regarding recent market demand trends in the U.S. Over the past several days, severe winter storm conditions across parts of the U.S. East Coast have coincided with a sharp increase in customer demand for Erayak's portable quiet inverter generators. Beginning around January 20, the Company observed a rapid acceleration in order activity across U.S. e-commerce channels serving end users preparing for potential power outages. During this period, daily unit sales increased by more than twenty times compared to the Company's average daily unit sales in the preceding weeks, with aggregate shipments across the Company's key portable inverter generator models approaching 1,000 units over a two-day period. The Company believes this surge reflects heightened consumer preparedness in response to extreme winter weather events and associated grid reliability concerns. As a result of the accelerated sales activity, certain U.S. inventory positions have tightened. Erayak is actively coordinating with its supply chain partners to expedite replenishment, including accelerating production schedules and prioritizing inbound logistics. There can be no assurance that inventory levels will be sufficient to fully meet ongoing demand, particularly if adverse weather conditions persist. Looking ahead, Erayak continues to advance its product roadmap for the North American market. During the Q1 the Company plans to introduce additional home emergency power solutions, including gasoline inverter generators in the approximately 4 kW to 13 kW range and multi-fuel generator models. Subject to production readiness, regulatory certifications, and market conditions, these products are currently expected to enter the U.S. market during the Q2. In parallel, as the Company's U.S. sales channels continue to mature, Erayak is evaluating selective opportunities to expand into adjacent, power-dependent product categories that closely align with its core power-generation expertise and customer base.
Erayak Power Solution launches subsidiary in the United States
Erayak Power Solution announced the establishment of its U.S. subsidiary, Nexora Group. In alignment with Erayak's long-term strategy of integrating global R&D and market operations, Nexora Group will act as the Company's regional headquarters in North America. The subsidiary is expected to strengthen Erayak's sales, marketing, and logistics capabilities in the region while enhancing localized product customization and after-sales support tailored to U.S. and Canadian customers. At the same time, Nexora will serve as an innovation and partnership platform, deepening cooperation with major North American enterprises in power equipment, RV, and renewable energy sectors to jointly develop next-generation inverter generators and smart power systems. Leveraging its U.S. presence, Nexora Group will also expand Erayak's business reach into South America and Europe, creating an interconnected network that links product innovation, supply-chain management, and customer service across key global markets. This integrated framework is designed to accelerate product localization, ensure regulatory compliance, and provide faster, more responsive support to international customers.
Erayak Power Solution Issued Nasdaq Delisting Notice Pending Hearing
Erayak Power Solution received a letter from Nasdaq on September 3 notifying that the company is not in compliance with Nasdaq's Low Priced Stocks Rule, as the company's securities had a closing bid price of 10c or less for the last ten consecutive trading days. As a result, the Nasdaq staff determined to delist the company's securities from Nasdaq. The letter also indicated that the bid price of the company's Class A ordinary shares had closed at less than $1 per share over the previous 30 consecutive business days, and as a result, the company is not in compliance with Listing Rule 5450(a). The company was provided until September 10 to request an appeal of the Delisting Determination to the Hearings Panel. The company intends to request such hearing to appeal the Delisting Determination before September 10, which will stay the suspension of the company's securities and the filing of the Form 25-NSE pending the Panel's decision. The company is considering all potential options available to it to regain compliance with the aforementioned rules, including seeking shareholders' approval for a reverse stock split.
Erayak Power Solution announces closing of $7M registered direct offering
Erayak Power Solution Group announced the closing of its previously announced registered direct offering with certain institutional investors for the sale and purchase of an aggregate of 107,692,307 of the company's Class A ordinary shares, par value $0.0001 per share in a registered direct offering at a purchase price of $0.065 per share. The purchase price for the pre-funded warrants was $0.065 to the purchase price for Shares, less the exercise price of $0.0001 per share. The gross proceeds to the company from the registered direct offering are estimated to be approximately $7M, before deducting the placement agent's fees and other estimated offering expenses. Craft Capital Management LLC acted as the sole placement agent for the offering. Ortoli Rosenstadt LLP acted as counsel to the Company and Sichenzia Ross Ference Carmel LLP acted as counsel to Craft Capital Management LLC.
