Standard BioTools Sells Microfluidics Business to Archimed
Standard BioTools announced it has entered into a definitive agreement to sell its Microfluidics business to Archimed. Michael Egholm, president and CEO of Standard BioTools, said, "Archimed brings deep healthcare and life sciences expertise, a strong understanding of the market and the resources to support the business' next chapter. This is a strong outcome for our employees and our customers, and we believe the business will continue to grow and innovate under new ownership. This transaction marks another important step in the strategic actions we laid out for Standard BioTools and our shareholders." The transaction is expected to close in approximately 30 days, subject to customary closing conditions. Until closing, the Microfluidics business will continue to operate as part of Standard BioTools.
Standard BioTools Signs $5.5M Deal with GMT Venture
Standard BioTools announced updates in connection with the company's merger with Treeline Biosciences. Standard BioTools terminated its previously announced agreement to sell its Mass Cytometry Business to Multiplex Bio and entered into a definitive agreement to sell its Mass Cytometry business to Element Biosystems, an acquisition vehicle formed by GMT Venture for $5.5M in cash payable at closing, subject to customary adjustments. Following the announcement of the Multiplex Bio transaction on July 28, Standard BioTools received an unsolicited acquisition proposal from GMT Venture on August 29 with respect to its Mass Cytometry business. The board of directors determined that the Element transaction constitutes a superior proposal and, prior to entering the definitive agreement with Element, Standard BioTools and Multiplex Bio mutually agreed to terminate the Multiplex Bio purchase agreement. The upfront cash proceeds from Element of approximately $5.5M, without the obligation to provide a $10M working capital loan as required in the terminated Multiplex Bio purchase agreement, increases the net cash position of Standard BioTools taken into account in the calculation of the final exchange ratio for the Treeline merger by approximately $15M, after taking into account related termination and transaction fees, as compared to the Multiplex Bio transaction. The Element transaction is expected to close by the end of 2026, subject to approval by Standard BioTools' stockholders and other customary closing conditions.
Standard BioTools and Multiplex Bio Reach Deal Valued at Up to $10M
Standard BioTools (LAB) announced the following updates in connection with the company's previously announced merger with Treeline Biosciences. Agreement to sell its Mass Cytometry business to Multiplex Bio. Buyout of the 2026 earnout and all future royalty payments for $30M related to Illumina's (ILMN) previously completed acquisition of Standard BioTools' SomaLogic business and early termination of the waiting period by the U.S. Federal Trade Commission under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 with respect to the Treeline merger. Multiplex Bio intends to maintain the full continuity of the business including all customer relationships. The transaction is valued at up to $10M, comprising a seller's note issued by Multiplex Bio to Standard BioTools and a potential milestone payment. Standard BioTools has agreed to provide Multiplex Bio with a working capital loan of up to $10M at the closing of the transaction. The transaction is expected to close by the end of 2026, substantially concurrently with the closing of the Treeline transaction, subject to approval by Standard BioTools' stockholders and other customary closing conditions. Standard BioTools received approximately $30M as a buyout of the 2026 earnout and all accrued and unpaid royalty payments related to Illumina, Inc.'s previously completed acquisition of Standard BioTools' SomaLogic business. This payment will now be included in Standard BioTools' pro forma net cash position at closing of the Treeline transaction, which will be used in determining the value of Standard BioTools in the exchange ratio in the Treeline transaction, in each case subject to the terms of the merger agreement with Treeline. On July 20, Standard BioTools filed its registration statement on Form S-4 with the U.S. Securities and Exchange Commission. On July 21, the U.S. Federal Trade Commission provided early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. The company expects the Treeline transaction to close by the end of 2026, subject to approval by Standard BioTools stockholders and other customary closing conditions.

Nasdaq Futures Rise 1.53% as Semiconductor Stocks Rebound
Stock futures are higher this morning as markets attempt to stabilize after Friday's sharp technology selloff. S&P 500 and Nasdaq futures are particularly rebounding, led by gains in semiconductor stocks, which are recovering some of the roughly $1T in market value erased from the chip sector late last week.Friday's employment report showed the labor market continues to create jobs despite elevated interest rates.
