Brazil Potash Updates on Legal Proceedings for Autazes Project

Brazil Potash is providing an update regarding a recent procedural filing in the Brazilian courts relating to the Autazes potash project in Amazonas State, Brazil. The company has become aware, through publicly available court records, that the Brazilian Federal Public Defender's Office, acting on behalf of certain indigenous organizations opposed to the Project, has filed an application to suspend provisional relief directly with the President of the Brazilian Supreme Federal Court. The company has not yet been formally served with the filing. The application is not a new lawsuit. The application seeks to overturn recent decisions of the Federal Regional Court of the First Region that were issued in favor of the company and the Indigenous Mura Council, and to suspend installation activities related to the Project. The TRF-1 has previously issued favorable decisions recognizing the legitimacy of the CIM as the representative organization of the Mura indigenous communities in the municipality of Autazes. The filing does not change the legal status of the Autazes Project or any of the company's existing environmental licenses, which remain in full force and effect. Brazil Potash intends to defend its position and continues to believe that its legal position is well supported by the existing judicial record.

Brazil Potash Corp. Proposes Underwritten Public Offering of Common Shares

Brazil Potash Corp. announced a proposed underwritten public offering of its common shares and, in lieu of common shares to investors who so choose, pre-funded warrants to purchase common shares. Brazil Potash intends to use the net proceeds from the proposed offering for working capital and other general corporate purposes. Canaccord Genuity is acting as the lead bookrunner for the proposed offering.

Brazil Potash Signs Cooperation Agreement with Mura Indigenous Council

Brazil Potash announced that Potassium do Brasil, its Brazilian operating subsidiary, has formalized a Term of Commitment and Cooperation with the Mura Indigenous Council, establishing a framework for joint action aimed at sustainable territorial development and the improvement of living conditions in indigenous communities in the municipality of Autazes, in Amazonas. The signing was attended by representatives of Potassium do Brasil, including Project Director Raphael Bloise and the technical team, as well as CIM leaders including General Coordinator Kleber Mura, Deputy Coordinator Adnelson Mura, and Secretary General Matilde Mura, along with legal counsel for the Council.
