Brand Engagement Network Completes $1.05 Million Private Placement
Brand Engagement Network announced that it has entered into a securities purchase agreement for a $1,051,025 private placement of common stock priced at $8.50 per share. The purchase price represents more than a 20% premium to the company's September 21, 2026 closing price of $7.07. The placement was subscribed in equal parts by returning investor BEN Capital Fund I, LLC and Joseph Bevash. The company will issue an aggregate 123,650 shares of common stock. An initial $150,025 (17,650 shares) was funded at closing, with the remaining $901,000 to be funded in five equal monthly installments of $180,200 through February 5, 2027. The transaction includes 100% warrant coverage. For each share purchased, the investors receive a six-month warrant to purchase one additional share at the same $8.50 exercise price. If the placement is fully funded, the warrants will cover up to 123,650 shares. This transaction continues the clear 2026 trend of BEN securing equity commitments from sophisticated investors at significant premiums to the prevailing market. Prior private placements this year were priced at $63.25, $39.25, and $17.82, each above the then-current closing price, including placements priced 20% above the close.

Brand Engagement Network Reports $5.3M Revenue from Cataneo Acquisition in H1 2026
Brand Engagement Network announced that the operations acquired through its June 30 acquisition of Cataneo generated approximately $5.3M in revenue for the first half of 2026, according to preliminary unaudited information. This marks a dramatic step-up in scale. Prior to the acquisition, BNAI's reported quarterly revenue was modest - $104,311 in the first quarter of 2026 and $10,000 or lower in comparable prior-year periods. The addition of Cataneo's established enterprise software business has significantly expanded the Company's overall revenue run-rate and commercial footprint. Management is comfortable stating first-half revenue of the acquired operations at approximately $5.3M. In connection with the acquisition, the Company expects to realize approximately $900,000 in annualized cost synergies over the twelve-month period ending June 30, 2027 through consolidations and related exits. These expected efficiencies, together with BNAI's ongoing cost-discipline initiatives, are anticipated to contribute to improved operating leverage as the Company integrates and scales the combined business.
Brand Engagement Network Completes Acquisition of Cataneo, 2025 Revenue Exceeds €8.6M
Brand Engagement Network completed its acquisition of Cataneo, an enterprise software provider that generated more than EUR 8.6M in 2025 revenue and whose platform manages more than EUR 6B in annual advertising inventory across more than 1,000 media brands and 200+ broadcast and digital channels. The company said, "Cataneo, a Munich-based provider of enterprise software for advertising operations and infrastructure, operates the MYDAS platform, which supports advertising sales, scheduling, traffic, content management, monetization, analytics, CRM integration, and real-time reporting for broadcasters and media organizations worldwide. The acquisition provides BEN with an established enterprise software platform, long-standing customer relationships, and mission-critical workflows where its AI technologies can be integrated and deployed. The acquisition of Cataneo enhances BEN's ability to embed enterprise AI into real-world operational environments across the media and advertising ecosystem, strengthening its position as an enterprise AI software provider. The strategic value of the acquisition is twofold. First, BEN intends to integrate its proprietary Engagement Language Model and enterprise AI technologies into the Cataneo platform to enhance advertising operations, audience intelligence, workflow automation, forecasting, and operational decision-making. Second, Cataneo provides an established commercial platform through which BEN can deploy AI-powered enterprise solutions to existing customers while expanding into additional industries over time." As part of the transaction, Cataneo Co-Founder Christian Unterseer has joined BEN's Board of Directors. Integration efforts are now underway, with both organizations continuing to support customers without disruption.
