Anavex Appoints Terrie Kellmeyer as CEO
Anavex Life Sciences announced that on November 1 its board of directors appointed Terrie Kellmeyer, who had been serving as the company's interim CEO, as president and CEO. She will also join Anavex's board of directors. Kellmeyer brings more than 30 years of biopharmaceutical industry experience spanning clinical development, regulatory affairs, clinical operations and medical affairs. Before joining Anavex, she held senior leadership positions at Aardvark Therapeutics, Acer Therapeutics, Madrigal Pharmaceuticals, Intercept Pharmaceuticals, Amylin Pharmaceuticals and Gen-Probe. "I am honored by the Board's confidence and grateful to our team, whose dedication over the past several months has positioned Anavex for its next chapter. We have strengthened our operations, advanced each of our programs and established a constructive dialogue with the FDA. My priorities are clear: disciplined execution of our clinical plans, generating high-quality data to support regulatory decisions and transparent communication with patients, investors and regulators. We are accountable to the patients and families we serve and to our shareholders, and we intend to deliver on our commitments," said Kellmeyer.
Anavex Receives FDA Approval for Fragile X Clinical Study
Anavex announced that it has received notification from the FDA that the company may proceed with its planned clinical study under its investigational new drug application, or IND, for Anavex2-73 for Fragile X syndrome, or FXS, a genetic condition that is the most common inherited cause of intellectual disability and developmental delay and the most commonly known single-gene cause of autism, for which no FDA-approved treatment currently exists. The IND is now open, enabling clinical investigation of blarcamesine in FXS in the United States. Blarcamesine has previously received Orphan Drug Designation from the FDA for the treatment of Fragile X syndrome.

Ma, Independent Chair, stated, "On behalf of the new Anavex Board of Directors, I would like to thank our stockholders for their trust and support during a pivotal time for our business. Today's outcome reflects confidence in the Board and management team's ability to execute on our refocused strategy. Looking ahead, we remain committed to strengthening our governance as we advance our focused clinical and regulatory strategy and work to deliver long-term value for all Anavex stockholders." Upon constituting the newly elected Board, Anavex intends to promptly refresh its committee memberships. Anavex will disclose the new committee assignments after the final voting results are filed.
PVG Asset Management Plans to Drive Anavex Board Election
PVG Asset Management, a stockholder of 337,663 shares of Anavex Life Sciences, announced its plan following its anticipated success in the Company's upcoming proxy vote. "PVG management is optimistic that its slate of highly qualified director candidates will win approval from shareholders, particularly in light of the recent recommendation from Glass Lewis that Anavex shareholders vote the GOLD Universal Proxy Card. With a focus on results, PVG's director nominees intend to take the following actions in the first 100 days: Leadership and management: Hire an experienced CEO with a track record in CNS and rare disease drug development and a following among institutional investors. Rebuild the clinical team without disrupting ongoing trials. Undertake a comprehensive effort to recover and preserve valuable institutional knowledge from existing management, as well as the nine executives who were recently terminated. Clinical development and trial execution: Bring in outside experts to help ensure trials are designed for the highest probability of success. Establish a special Board committee with clinical expertise to oversee and report on trial risks and progress, and de-risk the Phase 3 Alzheimer's trial design, including appropriate patient selection. Capital and strategic partnerships: Pursue capital raises at a higher stock price or through non-dilutive financing, and form partnerships with large pharmaceutical companies for indications the Company cannot afford to develop independently, such as Parkinson's disease and schizophrenia. Conduct a full review of each pipeline asset and its financing needs, as well as a thorough review of the patent portfolio for opportunities to extend patent life. Governance, legal and regulatory: Address the costly litigation relating to the renominated directors firing of the former CEO and pursue resolution if appropriate. Restore and strengthen independent Board oversight and accountability."
PVG Asset Management Urges Anavex Shareholders to Support New Director Nominations
PVG Asset Management, a stockholder of 337,663 shares of Anavex Life Sciences Corp., announced that independent proxy advisory firm Glass Lewis & Co. recommended that AVXL stockholders vote the GOLD Universal Proxy Card at the Company's September 24 annual meeting. In addition, Glass Lewis recommended that stockholders vote "FOR" the election of PVG director nominees Curtis Hogue and Jason Kolbert to the Company's board of directors and "AGAINST" incumbent director and Chairperson Jiong Ma and incumbent director Claus van der Velden on the GOLD Universal Proxy Card. Glass Lewis, in its recent Anavex report: also: Stated, "the balance of available factors fundamentally suggests the incumbent board's oversight has been measurably ineffective, and that further accountability is warranted at this time...PVG credibly establishes that functionally inert stewardship by long-serving board members directly contributed to strategic turbulence, executive tumult, regulatory lapses, structural weaknesses and persistent and material downside performance." Found that "the current board remains uniquely and heavily insulated from its own errant stewardship.... Recent losses thus arguably seem to have had a de minimis impact on the current Anavex slate, notably including culpable, long-serving directors who hold sway over substantially all critical oversight functions." Observed, that for incumbent director nominees Ma and van der Velden, "neither candidate appears to have substantive life sciences credentials ... both appear to have tech-weighted backgrounds that do not clearly align with the Company's current strategic needs or clinical priorities." Suggested removing "Ma and van der Velden in favor of novel candidates with more relevant expertise, fresh perspectives and, critically, no evident responsibility for the circumstances giving rise to Anavex's strategic missteps, regulatory headwinds, dubious governance architecture and substantial trading declines." Stated, "the board formed an open-ended committee with a lopsided mandate, terminated the former CEO, elevated an interim executive with operational familiarity but questionably robust expertise, hit a cascade of recently resolved regulatory stumbling blocks and impinged on the Company's capital raising alternatives at a critical juncture." Reasoned that "alternate candidates with more direct industry and capital markets expertise would represent a positive shift relative to the status quo." Noted that the current board's critique of PVG director nominees "lands awkwardly next to the observed expertise of several targeted Anavex incumbents, ultimately striking an off-key 'rules for thee, not for me' chord," adding, several alternate nominees do appear to offer prospectively valuable biotechnology and capital markets expertise."
