111, Inc. Establishes Special Committee to Evaluate Strategic Proposals
111, Inc. announced that the special committee, comprising of three independent directors, Jian Sun, who is the chairman of the Special Committee, Nee Chuan Teo and Jun Luo, has been established by the company's Board of Directors to consider and evaluate the previously announced preliminary, non-binding proposal letter dated September 16, 2026 as well as other potential strategic alternatives that the company may pursue.

111 Inc. announced that its board of directors has received an unsolicited preliminary non-binding proposal letter jointly submitted by Gang Yu, co-founder and co-chairman of the company, Junling Liu, co-founder, co-chairman and chief executive officer of the company and Huadeng Tech BioArray Ventures, proposing to acquire all of outstanding Class A ordinary shares of the company, including Class A Shares represented by American depositary shares, that are not currently owned by the buyer group in a going-private transaction at a proposed purchase price of 22.6c per Class A share or $4.52 per ADS in cash. According to the proposal, the buyer group intends to fund the consideration payable to consummate the transactions contemplated in the proposal with equity capital. Equity financing is expected to be provided in the form of rollover equity in the company and cash contributions from the sponsor or its affiliates. The board cautions the company's shareholders and others considering trading the company's securities that the board has just received the Proposal and has not had an opportunity to carefully review or evaluate the proposal and its terms, or make any decision with respect to the company's response to the proposal. There can be no assurance that any definitive offer will be received, that any definitive agreement will be executed relating to the proposal or that this or any other transaction will be approved or consummated. The company does not undertake any obligation to provide any updates with respect to this or any other transaction, except as required under applicable law.

111, Inc. regains Nasdaq compliance
111, Inc. announced that it has received notification from The Nasdaq Stock Market on February 10 confirming that Nasdaq has determined that for the last ten consecutive business days, from January 24 to February 7, the closing bid price of the company's American Depositary Shares has been at $1.00 per share or greater. Accordingly, the company has regained compliance with Listing Rule 5450(a)(1). Nasdaq noted this matter is now closed.
111, Inc. announces one-for-twenty ADS ratio change
111, Inc. announced that it plans to change the ratio of its American Depositary Shares to Class A ordinary shares from one ADS representing two Class A ordinary shares to the new ratio of one ADS representing twenty Class A ordinary shares. For the company's ADS holders, this ratio change will have the same effect as a one-for-ten reverse ADS split. There will be no change to 111's underlying Class A ordinary shares, and no Class A ordinary shares will be issued or cancelled in connection with this ratio change. No action is required by the company's ADS holders to effect the ratio change, as the change will be effected on the books of the ADS depositary. Following the ratio change, 111's ADSs will continue to be traded on Nasdaq under the ticker symbol (YI). The effect of the ratio change on the ADS trading price on Nasdaq is expected to take place at the open of business on January 24. As a result of the change in the ADS ratio, the ADS price is expected to increase proportionally, although the company can give no assurance that the ADS price after the change in the ADS ratio will be equal to or greater than ten times the ADS price before the change.
