Upland Software Focuses on AI-Powered Growth Opportunities
Upland Software issued a letter to shareholders from President and Chief Executive Officer Sean Nathaniel. Under new leadership, Upland is focusing investment on near-term, AI-powered growth opportunities where it sees clear AI tailwinds and competitive advantage, specifically in its knowledge and content automation solutions. The Company is simultaneously pursuing sharper capital allocation across the Company, driving greater efficiency to support investment behind those growth opportunities while also strengthening cash flow generation and reducing debt. "We believe we have an advantage most AI entrants spend years trying to build, an installed base of more than 1,100 enterprise customers who trust us to power their AI journey rather than be displaced by it," said Nathaniel. "That AI tailwind is real for Upland today, not a future promise; we believe our knowledge and content automation solutions, in particular, are critical to enabling enterprise AI journeys. Upland Software announced the appointment of Jennifer Simon, CPA, as Chief Financial Officer, effective August 17, 2026. Jennifer will lead Upland's global finance organization, reporting to President and Chief Executive Officer Sean Nathaniel. In the role, Jennifer will oversee financial planning and analysis, accounting, treasury, tax, and investor relations, working closely with Upland's leadership team to strengthen financial and operating discipline, support effective capital allocation and investment decisions, and advance the Company's strategic priorities. Jennifer's appointment comes as Upland sharpens its strategic focus to its core intelligence domains of knowledge, content, and data, prioritizing disciplined capital allocation as the Company invests in AI-driven product innovation and strengthens its balance sheet. "Since becoming CEO, my focus has been on sharpening our strategy, simplifying how we operate, and strengthening our leadership team," said Sean Nathaniel, President and Chief Executive Officer of Upland Software. Upland Expects 9% Decline in Total Revenue for 2026
For the full year ending December 31, 2026, Upland expects reported total revenue to be between $192.5 and $201.5 million, including subscription and support revenue between $182.7 and $190.3 million, for a decline in total revenue of 9% at the midpoint from the year ended December 31, 2025. This year-over-year revenue decline is primarily due to divestitures completed in 2025. Full year 2026 Adjusted EBITDA is expected to be between $51.7 and $56.3 million, which at the midpoint is a decline of 7% from the year ended December 31, 2025. Full year 2026 Adjusted EBITDA margin is expected to be 27% at the midpoint as compared to the 27% Adjusted EBITDA margin for the year ended December 31, 2025.
