PN Smart Energy Enters Framework Cooperation Agreement with Limeon
PN Smart Energy announced that, through its key operating subsidiary PN Sunshine, the Company and Limeon Digital Partners have entered into a Framework Cooperation Agreement to integrate artificial intelligence technologies into the operations and maintenance of solar power plants. "Integrating AI technology into our O&M workflow marks an important step in improving our operating performance across the Asia-Pacific region," stated Weiqi Huang, Chief Executive Officer of the Company. "As our solar portfolio scales toward 15 MW, Limeon's AI architecture is intended to help us move from reactive maintenance to intelligent, predictive asset management. This collaboration reinforces our commitment to maximizing energy yields, extending asset lifespans, and delivering sustainable, technology-enabled energy solutions to our stakeholders."
PN Smart Energy Signs PV Investment Agreement with Nanjing Chenxi
PN Smart Energy announced that through its key operating subsidiary Nanjing Cesun Power, the company has entered into a Framework Agreement for Distributed Photovoltaic Power Plant Investment Sourcing with Nanjing Chenxi Construction Technology, in which PN Smart holds a 40% stake. This strategic partnership is designed to identify, screen, and secure approximately 200 megawatts of high-quality distributed solar assets. Pursuant to the agreement, the company intends to focus its investments primarily on industrial and commercial rooftop distributed solar, as well as residential distributed photovoltaic projects. Under the agreement, Nanjing Chenxi will provide comprehensive support throughout the entire acquisition lifecycle, including sourcing and screening project opportunities, assisting with preliminary commercial negotiations, conducting on-site surveys, coordinating due diligence, and facilitating final project closings. Remuneration for the sourcing services will be determined on a strict case-by-case basis, directly factoring in project scale, complexity, and prevailing market conditions. PN Smart will retain absolute, independent decision-making authority over all final investments. If the company elects not to proceed with a recommended project, it bears no obligation to pay the corresponding service fees.

PN Smart Energy Sells 1.43M Shares at $3.50 Each
PN Smart Energy announced that it has entered into a securities purchase agreement with an institutional investor for the sale of up to 1.43M Class A ordinary shares and pre-funded warrants in a registered direct offering of its securities at a purchase price of $3.50 per ordinary share. The gross proceeds from the offering are expected to be $5M, before deducting placement agent fees and other offering expenses. The company intends to use the net proceeds from the offering for general working capital purposes. The closing of the offering is expected to occur on or about August 10, subject to the satisfaction of customary closing conditions. FT Global Capital, Inc. is acting as the exclusive placement agent for the offering.
