Powell Max Signs LOI to Acquire Boston Solar Company for $9M
Powell Max has signed a non-binding letter of intent to acquire The Boston Solar Company, a vertically-integrated regional EPC solar installer. "Our move to begin the acquisition process for Boston Solar reflects that commitment. As demand for energy rises across the U.S., fueled by AI, automation, and rapid technological change, we believe Boston Solar offers a strong platform for long-term growth," said Geordan Pursglove, chairman and CEO of Powell Max. Pursuant to the LOI, the transaction is valued at $9M, including the assumption of up to $7M debt. Following closing, Powell Max expects to provide to Boston Solar up to $20M in working capital funding subject to the finalization of the definitive agreement and the company's ability to secure capital.
Powell Max Engages RBW and Spartan for Financial Advisory Services
Powell Max has engaged RBW Capital Partners and Spartan Capital Securitiesto provide certain financial advisory and financial placement agency and investment banking services to Powell Max. The Securities and Brokerage Services are offered through Spartan and Dawson James Securities. Powell Max engaged RBW and Spartan as exclusive agents to the company in connection with evaluating, structuring, and executing potential strategic transactions. RBW and Spartan will provide strategic and financial advice to the Company, but will not be responsible for providing legal, accounting, tax, or other specialized advice.
Powell Max Completes $17 Million Financing and Restructures Board
Powell Max provided the following corporate update regarding its repositioning. Key Highlights: Raised $17 million in capital from new investors; Appointed new Chairman and CEO Geordan Pursglove; Reconstituted the Board of Directors; Regained compliance with Nasdaq listing requirements. Pursglove commented, "My first month at Powell Max has been extremely productive. We successfully completed a corporate restructuring in a short timeframe, raised substantial capital from new investors, reconstituted the Board of Directors, and regained Nasdaq compliance, all by the end of February. On January 30, 2026, the company completed a $17 million private placement financing with Spartan Capital Securities. On January 30, 2026, the Company appointed Mr. Andrew Hancox, Mr. Phillip Balatsos, Ms. Caroline Castleforte, and Ms. Lourdes Felix to its Board of Directors. On February 6, 2026, the Board reconstituted the Audit Committee to consist of three independent directors. On February 12, 2026 the Company successfully regained compliance with Nasdaq's audit committee requirements, as stated in Listing Rule 5605(c)(2), as confirmed by Nasdaq in a letter dated February 12, 2026.
