Heidmar Completes Acquisition of Q-Shipping for Approximately $200K
Heidmar announced that it has completed the acquisition of Q-Shipping B.V., a ship management and crewing business, adding nine vessels to its managed fleet and establishing an operating presence in the Netherlands and Turkey, with a dedicated crewing capability in Ukraine. The transaction was completed for total consideration of approximately $200K, funded from cash on hand, and closed effective July 1 with no regulatory approvals or other post-closing conditions outstanding. "This acquisition is a clear example of how we intend to grow Heidmar - adding vessels and expanding into new markets with minimal capital and immediate operational upside. Overnight we gain a management presence in the Netherlands and Turkey and a capable crewing operation in Ukraine, giving us the platform and the people to take on further mandates and scale our managed fleet across the region. It is a small investment with strategic value, and it reflects the disciplined, capital-efficient way we plan to build the Company," said Pankaj Khanna, CEO of Heidmar.

Heidmar Maritime Receives Nasdaq Warning, Stock Price Below $1
Heidmar Maritime announced that it has received written notification from Nasdaq dated April 22, indicating that because the closing bid price of the company's common stock for the last 30 consecutive business days was below the minimum $1.00 per share bid price requirement for continued listing on Nasdaq, the company is not in compliance with Nasdaq Listing Rule 5550. Pursuant to Nasdaq Listing Rule 5810, the applicable grace period to regain compliance is 180 days, or until October 19. The company intends to monitor the closing bid price of its common stock during this grace period and will consider its options in order to regain compliance with Nasdaq minimum bid price requirement. The company can cure this deficiency if the closing bid price of its common stock is $1.00 per share or higher for at least ten consecutive business days during the grace period. The company intends to cure the deficiency within the prescribed grace period. During this time, the company's common stock will continue to be listed and trade on Nasdaq. The company's business operations are not affected by the receipt of the notification.
Heidmar Maritime Appoints Jagmeet Makkar as Independent Director
Heidmar Maritime Holdings announced the appointment of Mr. Jagmeet Makkar as Independent Non-executive Director effective as of February 16, 2025. Mr. Makkar brings over 40 years of distinguished experience in shipping operations, commercial management, and risk management. He will also serve as a member of the Company's Audit Committee. In addition to his extensive background, Mr. Makkar has been a faculty member and mentor at leading maritime institutions worldwide, contributing extensively to executive education and professional training programs. Mr. Makkar meets the independence requirements under the Nasdaq listing standards and SEC rules. There are no arrangements or understandings between Mr. Makkar and any other person pursuant to which he was selected as a director.
