Elutia Completes BioEnvelope Sale, Receives $8M
Elutia (ELUT) has received the full $8M held in escrow in connection with the sale of its BioEnvelope business to Boston Scientific (BSX). The payment was made following an indemnity holdback period that began with the October 1, 2025 closing of the $88M transaction. The company believes it is funded through the first full year of the NXT-41x commercial launch and into 2029, without the need for an equity offering. The regulatory process remains on track and Elutia continues to expect a favorable FDA clearance decision for NXT-41x in the first half of 2027. NXT-41x is the company's next-generation antibiotic-eluting surgical matrix. It is being developed for use in the $1.5B U.S. plastic and reconstructive surgery market.

Elutia CEO Says EluPro Success Transforms Company
"The success of EluPro was transformational for Elutia," said Dr. Randy Mills, Chief Executive Officer. "It validated the technical and commercial capability of our drug-eluting platform and enabled us to enter plastic and reconstructive surgery, where complication rates in breast reconstruction remain unacceptably high. We enter 2026 with a strong balance sheet and the capital required to develop and commercialize NXT-41x. With an experienced team and a focused strategy, we are positioned to execute and advance our mission so that patients can thrive without compromise."
