China Pharma trading halted, volatility trading pause
China Pharma Holdings Prices 2.5M Shares at $2 Each
China Pharma Holdings announced that the pricing of its registered direct offering of 2.5M shares of its common stock at a purchase price of $2 per share. The gross proceeds from the offering will be $5M, before deducting placement agent fees and other offering expenses. The offering is expected to be closed on or about July 23. FT Global Capital is acting as the exclusive placement agent for the offering.
China Pharma Responds to NYSE Inquiry
China Pharma Holdings announced that, in view of the unusual market activity in the common stock of China Pharma on July 21, the NYSE American has contacted the Company in accordance with its usual practice. The Company stated that, while its policy generally is not to comment on unusual market activity, it issued this statement under Section 401 of the NYSE American Company Guide that it was not aware of any material corporate developments that would explain the recent market activity. Shareholders and prospective investors are cautioned to exercise care when evaluating the Company's securities in light of the recent volatility and to rely only on information contained in the Company's filings with the SEC.
China Pharma announces 1-for-10 reverse stock split
China Pharma Holdings reported that it expects to implement a 1-for-10 reverse stock split on its common stock effective Tuesday, April 15, with trading to begin on a split-adjusted basis at the market open on that day. Trading in the common stock will continue on the NYSE American under the symbol "CPHI". The new CUSIP number for the common stock following the reverse stock split is 16941T 401.
China Pharma announces $600,000 common stock offering
China Pharma Holdings announced that it has filed a prospectus supplement with the U.S. SEC under which the company may offer and sell from time to time shares of common stock with an aggregate offering price of up to $600,000. The shares will be offered pursuant to a certain Securities Purchase Agreement the company entered into with certain investor on December 12. Pursuant to the SPA, the Investor agrees to, at its discretion, purchase, from time to time over the commitment period from December 12 through December 31, through one or more closings, up to $600,000 worth of the common stock, at the prices related to prevailing market prices, which equals to the lower of (i) the closing price the day prior to the purchase notice, or (ii) the five (5) day average closing prices of the company as reported by Bloomberg or on the NYSE American Market's website and in accordance with NYSE Rule Section 312.03(c), provided, in no event shall the price per share be lower than 15c per share.
