Borealis Foods Fails to Timely File Quarterly Report
Borealis Foods received a notice from The Nasdaq Stock Market indicating that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) due to the Company's failure to timely file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30 with the Securities and Exchange Commission. The Notice has no immediate effect on the listing or trading of the Company's Common Shares or Warrants on the Nasdaq Capital Market. In accordance with Nasdaq's listing rules, the Company has until October 26 to submit a plan of compliance to Nasdaq addressing how the Company intends to regain compliance with the Listing Rule with respect to the Q2 Form 10-Q. If Nasdaq accepts the Company's plan, Nasdaq may grant the Company up to 180 calendar days from the due date of the Q2 Form 10-Q, or until February 16, 2027, to regain compliance. The Company was otherwise prepared to file the Q2 Form 10-Q on a timely basis; however, the filing was delayed by the need to complete a review, together with its independent auditors, of the appropriate accounting treatment of the Company's previously disclosed Conversion Agreement the conversion contemplated by which is subject to shareholder approval under applicable Nasdaq Listing Rules. The Company intends to file the Q2 Form 10-Q promptly upon completion of that review.
Borealis Foods K-12 Foodservice Revenue Up 110% Year-Over-Year
Borealis Foods announced continued national expansion in the U.S. K-12 foodservice market, with revenue from the channel increasing 110% compared with the prior-year period. Since entering the school foodservice channel, Borealis Foods has expanded its presence to more than 20,000 schools representing approximately 2,500 school districts. Over the past 12 months, the company's school products have shipped through 106 distributors across 40 states, reflecting broader market penetration and an expanding national distribution network. The 110% year-over-year increase in K-12 foodservice revenue reflects increased adoption within the market and the growing importance of institutional foodservice as a national growth channel for Borealis Foods. The company's products provide school nutrition teams with flexible meal options that can be incorporated into soups, stir-fries, salads, bowls and other speed-scratch recipes. The announcement comes as Borealis Foods participates in the School Nutrition Association's 2026 Annual National Conference in Charlotte, North Carolina. More than 95,000 U.S. schools and institutions participate in the National School Lunch Program, representing a meaningful long-term opportunity for Borealis Foods as it continues to expand its institutional foodservice business nationally.

Borealis Foods expands U.S. Walmart distribution
Borealis Foods (BRLS) announced an expanded distribution at Walmart (WMT), through its wholly owned Palmetto Gourmet Foods. Chef Woo and Ramen Express products will now be available in more than 1,300 Walmart locations nationwide and online, including Chef Woo's newest ramen flavors crafted in partnership with world-renowned chef Gordon Ramsay. The move reinforces Borealis Foods' commitment to providing a healthier version of ramen to consumers across the country.
