bioAffinity Enters Agreement to Sell 8.46 Million Shares to Institutional Investor
bioAffinity Technologies entered into a securities purchase agreement with an institutional investor to sell 8,462,027 shares of common stock, together with two warrants to purchase up to an aggregate 16,924,054 shares of common stock, in a private placement offering priced at-the-market under Nasdaq rules. The combined effective offering price for each share of common stock and accompanying two warrants to be issued is $0.4727. The combined effective offering price for each pre-funded warrant and accompanying two warrants to be issued is $0.4657. The pre-funded warrants will have an exercise price of $0.007 per share of common stock and the warrants will have an exercise price of $0.4727 per share, will be exercisable following stockholder approval, and will expire five years from the date of issuance. The gross proceeds to the Company from the offering are estimated to be approximately $4M before deducting the placement agent's fees and other estimated offering expenses. The offering is expected to close on or about August 14, subject to the satisfaction of customary closing conditions. WallachBeth Capital is acting as the sole placement agent in connection with the offering.

Titled "Lung Nodules, Lung Microenvironment, Predictive Models and Clinician Risk Stratification Using CyPath Lung Testing for Early Diagnosis of Lung Cancer," the paper examines the growing clinical challenge of evaluating pulmonary nodules as lung cancer screening expands, incidental findings increase, artificial intelligence identifies even more incidental nodules, and more patients require long-term surveillance following cancer treatment.
bioAffinity Collaborates with Pictor to Develop Next-Gen Diagnostic Tests
bioAffinity Technologies announced a collaboration with Pictor to support development and commercialization of bioAffinity Technologies' next-generation diagnostic tests designed to provide a more complete picture of lung inflammation in patients with asthma and chronic obstructive pulmonary disease. The agreement will integrate bioAffinity's expertise in flow cytometry with Pictor's targeted proteomic analysis platform to analyze immune cell populations and cytokine profiles associated with airway inflammation. "Pictor's targeted proteomic platform has the ability to lower our operating costs compared with traditional single-analyte testing by improving laboratory efficiency and reducing testing complexity, all of which is required to serve a large and growing market like that of asthma and COPD," said Maria Zannes, President and CEO of bioAffinity Technologies. "We look forward to taking advantage of Pictor's expertise in proteomics and product development, and their team's experience in optimizing laboratory-friendly workflows to facilitate high throughput testing."
