Venu Holding Luxe FireSuite Sales Exceed $290 Million

Venu Holding announced strong Luxe FireSuite sales performance, highlighting three of its venues under development, underscoring continued demand for premium hospitality experiences in the Company's target markets. Since the program's inception, Luxe FireSuite sales have generated over $290M in sales for the Company. FireSuite sales average over 80% sold across the three venues, standing at: Regent Bank Amphitheater: more than 70% sold; Sunset Amphitheater: more than 90% sold; The Hall at Centennial: more than 75% sold.

Company Revenue Reaches $4.8M, CEO Says Business Steady Progress

Reports revenue $4.8M vs. $4.5M last year. "This quarter reflected steady, deliberate progress across our business," said J.W. Roth, CEO. "We announced our expansion plans into Chattanooga and are in active discussions on a new destination in Northern Colorado, adding to a pipeline of more than 45 municipal conversations. Regent Bank signed on as the official naming rights partner for our state-of-the-art amphitheater outside of Tulsa, Oklahoma a multi-year, multi-million-dollar agreement that adds long-term, high-margin revenue directly to our bottom line, and finishing the quarter we were added to the Russell 3000 and Russell 2000 indices. Since quarter end, we've also sharpened how we finance venues to completion, as we aim to move away from sale-leaseback to C-PACE financing, which keeps our real estate on the balance sheet and minimizes shareholder dilution, bridged by a short-term loan with Ryan LLC and a debenture financing that are both structured to be retired after C-PACE closes. Our attention is squarely on the finish line at Regent Bank Amphitheater, which opens this fall with bookings, offers, and shows in progress. Venu Holding Closes $25M Financing Transaction

Venu Holding closed on a $25M financing transaction. VENU's Regent Bank Amphitheater in Broken Arrow, OK - targeted completion Fall 2026 The funds are dedicated to the construction costs for the Company's premium 12,500-seat entertainment destination, Regent Bank Amphitheater in Broken Arrow, just outside of Tulsa, Oklahoma, set to be complete this coming fall. The facility bridges VENU to the closing on the previously announced Commercial Property Assessed Clean Energy permanent financing for Regent Bank Amphitheater, which the Company expects to close in Q3. The financing advances Regent Bank Amphitheater's construction towards completion without delay, while maintaining VENU's disciplined capital approach to venue development that is intended to minimize dilution. VENU received $12.5M in gross proceeds at closing with an additional $12.5M before fees and expenses to follow subject to the satisfaction of certain closing conditions for the release of those additional funds. The loan extended to VENU was in the form of a secured convertible debenture. The debenture is expected to be repaid by VENU in cash, however, it is also convertible by the lender into shares of common stock in the absence of a payment failure or an event of default.
