EigenQ and Silicon Valley Acquisition Corp. File Registration Statement for Merger

EigenQ and Silicon Valley Acquisition Corp. announced the public filing with the U.S. SEC of a registration statement on Form S-4 in connection with their previously announced proposed business combination. Under the terms of the Business Combination Agreement, as amended, SVAQ is expected to domesticate to become a Delaware corporation and, following completion of the Business Combination, be renamed as EigenQ Holdings. EigenQ will survive the merger as a wholly owned subsidiary of PubCo. The Business Combination is currently expected to close in the fourth quarter of 2026.

EigenQ Enters $45M Financing Agreement with Silicon Valley Acquisition Corp.

EigenQ and Silicon Valley Acquisition Corp. announced that EigenQ has entered into a securities purchase agreement with an institutional investor providing financing to support EigenQ's commercialization plans. The financing is comprised of approximately $45M in the form of a convertible note, of which approximately $22.5M was funded upfront with the remaining expected to fund at completion of the previously announced Business Combination between EigenQ and SVAQ. EigenQ expects to use the net proceeds of the financing to accelerate commercialization of its quantum-safe security portfolio, expand delivery capacity alongside its OEM and channel partners, continue R&D across quantum security, communications, networking and sensing, and for working capital and general corporate purposes.

EigenQ and SVAQ Submit Merger Registration Statement

EigenQ and Silicon Valley Acquisition Corp. announced the confidential submission of a draft registration statement on Form S-4 for review by the U.S. SEC relating to EigenQ's and SVAQ's previously announced proposed business combination transaction to take EigenQ public. Submission of the Draft Registration Statement for SEC review reflects continued progress and forward momentum relative to the proposed Business Combination and represents another key milestone toward completing the transaction.
