SoundThinking Acquired by Transom Capital at $8.00 per Share
SoundThinking announced that Transom Capital, an operationally focused middle-market private equity firm, has commenced a tender offer to acquire any and all issued and outstanding shares of common stock of the company for $8.00 per share, net to the stockholder in cash, without interest, plus one non-transferable contingent value right per share. The CVR represents the contractual right to receive a contingent cash payment of up to $3.00 per CVR, without interest and less any applicable tax withholding, upon the achievement of certain specified revenue milestones. The tender offer is being made in connection with the previously announced Agreement and Plan of Merger, dated September 28. The SoundThinking Board unanimously determined that the merger agreement and the transactions are advisable and in the best interests of the company and its stockholders and recommends that stockholders tender their shares in the tender offer. The SoundThinking Board considered that the transaction delivers significant, immediate and certain value to stockholders with additional future upside potential. The $8.00 per share cash consideration provides stockholders a premium of 46% to the closing price per share of the company's common stock on September 28. Stockholders will also receive one CVR per share, which provides an opportunity to realize additional value of up to an aggregate of $3.00 per CVR in cash upon achievement of certain specified revenue milestones.
Roth Capital Downgrades SoundThinking to Neutral with $9 Price Target
Roth Capital analyst Richard Baldry downgraded SoundThinking to Neutral from Buy with a $9 price target after the company agreed to be acquired for $8.00 per share in cash and up to $3.00 in additional cash based on revenue milestones in the form of a contingent value right. Roth believes achievement of a "mid-level payout appears reasonable."
Transom Capital to Acquire SoundThinking for $8.00 per Share
SoundThinking and Transom Capital Group announced that they have entered into a definitive merger agreement under which Transom will acquire SoundThinking through a tender offer for $8.00 per share in cash, and one non-transferable CVR worth up to $3.00 per share, for aggregate potential consideration of up to $11.00 per share in cash. The implied enterprise value of SoundThinking based solely on the up-front cash consideration is approximately $114M, and the total enterprise value with payment of the maximum CVR payment is approximately $159M. The transaction has been unanimously approved by the SoundThinking Board and is expected to close in the fourth quarter of 2026, subject to the satisfaction of customary closing conditions, including the Company's shareholders validly tendering shares of SoundThinking's common stock representing at least a majority of the outstanding shares of SoundThinking common stock.
Q2 Revenue at $23.89M, Below Expectations
Reports Q2 revenue $23.89M, consensus $25.67M. "While our second quarter results were below our expectations, we continue to believe the underlying health of the business remains strong," said President and CEO Ralph Clark. "Demand for our solutions continues to expand through new deployments and customer expansions, as customers look to consolidate critical public safety and security workflows onto a single platform."
Company Cuts FY26 EBITDA Margin Outlook to 8%-9%
Consensus $109.23M. Cuts FY26 adjusted EBITDA margin view to 8%-9% from 16%-18%. "Given our softer-than-expected first-half results and the timing of certain customer and procurement decisions, we believe it is prudent to revise our 2026 outlook while remaining focused on disciplined execution," added Clark. "While the near-term environment has become more challenging, our confidence in the strength of our recurring revenue base, expanding SafetySmart adoption, and long-term growth opportunity remains unchanged. We expect continued cross-sell activity, new deployments, and approximately $4 million of annualized savings from workforce and business optimization initiatives that became effective at the start of the second quarter of 2026 to support improving operational efficiency and a stronger foundation for sustainable, profitable growth. While we continue to monitor the Chicago procurement process, our long-term growth strategy and financial targets are not dependent on that opportunity."
