Emergent BioSolutions Signs $50M Agreement with SAB Biotherapeutics
Emergent BioSolutions (EBS) announced a multi-year agreement with SAB Biotherapeutics (SABS) to support the process development and manufacturing of SAB-142, SAB BIO's lead program in clinical development for autoimmune type 1 diabetes. The executed agreement is valued at approximately $50M, of which $36M is contingent on future regulatory approval and downstream milestones. Under the terms of the agreement, Emergent will provide end-to-end development and manufacturing services to SAB BIO that are compliant with current good manufacturing practices. These services will include process development and scale-up, technology and analytical method transfer, manufacturing for SAB-142's ongoing clinical program and commercial manufacturing services upon regulatory approval.

The deal size was increased to $85M in common stock from $75M in common stock and the range was $3.75-$4.07. Jefferies, UBS, Citi and Barclays acted as joint book running managers for the offering.

SAB Biotherapeutics Commences Underwritten Public Offering of Common Stock
SAB Biotherapeutics announced that it has commenced an underwritten public offering of shares of its common stock. All of the shares in the proposed offering are to be sold by SAB BIO. The company intends to use the net proceeds it receives from this offering, together with its existing cash, cash equivalents and marketable securities, primarily to fund the continued development of our clinical stage product candidate, SAB-142 through ongoing and planned clinical trials, as well as for related manufacturing, regulatory, and operational activities, and for working capital and general corporate purposes. Jefferies, UBS Investment Bank, Citigroup, and Barclays are acting as joint book-running managers for the offering. Chardan is acting as lead manager.
SAB Biotherapeutics Releases Phase 1 Data for SAB-142
SAB Biotherapeutics announced additional data from the Phase 1 HUman anti-thymocyte biologic in first-in-MAN, HUMAN, clinical trial of SAB-142. The established T1D adult patient cohort demonstrated early signals of C-peptide preservation which aligned with the anticipated mechanism of action of SAB-142. In the T1D cohort, SAB-142 treated study participants showed no decrease in C-peptide levels at Day 120 compared to baseline. The placebo study participant showed a decrease in C-peptide at Day 120 compared to the baseline. "We believe these Phase 1 data provide an opportunity to bring our early findings to investigators, clinicians, and patients, giving them greater visibility into the science behind SAB-142. By sharing this exploratory C-peptide trend openly, we aim to support informed engagement from the T1D community. While no statistical conclusions can be made, these findings align with our expectations and provide additional confidence as we clinically execute on SAFEGUARD, which is designed and powered to evaluate the safety and efficacy of SAB-142 for patients with new onset T1D," said Samuel Reich, CEO, SAB BIO.
