Roadzen announced the signing of a definitive agreement to acquire a technology-driven managing general agent specializing in short-term car rental insurance across Europe. The acquisition is being made by Roadzen's India subsidiary, Roadzen Technologies, which is 92% owned by Roadzen. Under the terms of the purchase agreement, the sellers may elect to receive equity in Roadzen India, based on a valuation of Roadzen India at approximately $280M, or cash. As a result, the transaction is not expected to be directly dilutive to Roadzen's Nasdaq shareholders. Total consideration is approximately $15M - 50% payable at closing and 50% structured as a three-year earn-out contingent on milestones. The company writes approximately 800,000 policies annually and is expected to generate approximately $18M-$20M in revenue and approximately $1.6M-$2M in EBITDA in its current fiscal year, with no debt, positive free cash flow, and a lean team of around 20 people supported by its proprietary technology.

Roadzen Signs $5.3M Agreement with Indian Electric Vehicle Leasing Operator

Roadzen announced that its drivebuddyAI platform for safety and autonomy has entered into an agreement valued at approximately $5.3M with one of India's electric commercial vehicle leasing and fleet operators. The deployment covers drivebuddyAI's six-camera ADAS solution across 3,600 electric buses and trucks operating in public transportation, seaport logistics, mining, and industrial transportation, including electric city bus fleets serving major Indian metros. The initial deployment will be 1,300 vehicles, with volumes expected to ramp to 3,600 over the course of the year. This is the second major fleet order for drivebuddyAI during Roadzen's FY27, following the previously announced multi-million dollar contract to deploy its six-camera ADAS solution across 3,000 heavy-duty trucks in the steel and infrastructure sector.

The company said, "The invention addresses a persistent limitation in conventional lane detection: the inability to perform reliably across variable road conditions, lighting environments, and vehicle types. Key innovations include: Automated Frame Validation - An AI evaluation module scores video frames across lane visibility, geometry, vehicle positioning, and lighting. Only high-confidence frames drive lane ROI computation, materially reducing false alerts. Vehicle-Specific ROI Adaptation - Parameters adjust dynamically by vehicle type: precision-focused for passenger cars, stability-weighted for trucks, passenger safety-prioritised for buses. Dual-Camera Architecture - Road-facing and driver-facing cameras feed a unified AI pipeline, enabling simultaneous environmental and driver-state awareness. Roadzen Signs LOI with US Insurer for $30M Annual Underwriting Capacity

Roadzen announced that its U.S. operations have signed a letter of intent with a leading U.S. commercial insurance carrier for a dedicated commercial auto insurance program. The LOI contemplates $30M in annual underwriting capacity in year 1, scaling to $50M over three years, supporting Roadzen's expansion in the U.S. commercial auto insurance market. "Commercial auto insurance in the U.S. is a category where rates have been rising for years, and operators need partners who can help them manage risk rather than just price it," said Rohan Malhotra, founder and CEO of Roadzen.
