Highway Holdings Signs Joint Venture Agreement with Huahu
Highway Holdings has signed the master agreement contemplated by the letter of intent with Guangdong Huahu signed on July 22, 2026. Highway Holdings expects to benefit from the joint venture's anticipated sales and profit contribution, including from the new components business. Huahu is a China-based manufacturer of battery energy storage systems marketed under the Wowtiger brand. The companies expect to officially form Huahu International New Energy, a Hong Kong joint venture company, within less than 30 days. The joint venture will combine Huahu's energy storage products and technology with Highway Holdings' global manufacturing capabilities, European operating presence and international commercial relationships. Highway Holdings will own 57% of the joint venture company, with Huahu owning the remaining 43%. The venture will be jointly managed by the two parties. The venture will market and distribute Huahu's Wowtiger-branded energy storage products in designated international markets. The initial commercial focus will include Germany, Italy, the U.S. and designated South American markets. It will also evaluate additional markets and semi-knocked-down kit manufacturing opportunities for Highway Holdings as the business develops. The joint venture is expected to receive initial contributions valued at approximately $3.5M, consisting of approximately $2.0M in cash from Highway Holdings; and approximately $1.5M in products and technology transferred by Huahu. The joint venture will receive exclusive rights to market and distribute those products in Germany, Italy, the United States and designated South American markets, and intends to manufacture Huahu products through an SKD model.

Highway Holdings announced that the 5c per common share cash dividend declared by the company's Board of Directors will be paid on September 22 to shareholders of record on August 10, rather than August 8 as indicated in the company's press release on July 27.
Highway Holdings Signs LOI with Huahu New Energy for Strategic Cooperation
Highway Holdings announced that it has signed a letter of intent, or LOI, with Guangdong Huahu New Energy Technology, a China-based manufacturer of battery energy storage systems marketed under the Wowtiger brand. The LOI outlines a broad strategic cooperation intended to combine Huahu's products and technology with Highway Holdings' international manufacturing capabilities, European operating presence and commercial relationships. Huahu has an initial focus on many smaller-scale businesses in African and Southeast Asian markets. The proposed cooperation is also intended to pursue opportunities in Europe, the U.S. and South America. In the United States, one of the world's largest potential energy storage markets, Highway Holdings expects to draw on its existing relationships and international operating experience to evaluate a manufacturing, distribution and marketing presence. Under the LOI, the parties intend to form a joint venture company in Hong Kong tentatively named Huahu International New Energy Technology Company Limited . The proposed venture would have initial contributions valued at US$3.5 million, consisting of approximately $2.0M in cash from Highway Holdings and approximately $1.5M in products and technology transfer from Huahu. Highway Holdings would own 57% of the venture and Huahu would own 43%. The joint venture would be jointly managed by the parties. Specifically, Huahu would provide the venture with exclusive SKD manufacturing, marketing and distribution rights of Huahu's products for the Germany, Italy, United States and certain South American markets. The LOI also contemplates the initial issuance by Highway Holdings to Huahu of up to an aggregate of 400,000 of its restricted shares upon the achievement of by the joint venture of certain milestones in Europe and Hong Kong. In addition, Highway Holdings will issue additional Highway Holdings restricted shares to Huahu for every $1M of component business that Huahu provides to Highway Holdings' subsidiary companies. The parties intend to negotiate and complete the definitive agreements contemplated by the non-binding LOI, with a goal to sign these agreements within approximately one month.
Highway Holdings Signs LOI to Acquire 51% of Regent-Feinbau
Highway Holdings announced it has signed a letter of intent with LeMALe Beteiligungs-GmbH to acquire 51% of German-based Regent-Feinbau Adermann GmbH primarily for cash and a smaller amount of the company's unregistered shares. The proposed acquisition, which targets a close by the end of March 2026, remains subject to the completion of due diligence, negotiation and execution of a definitive purchase agreement, and satisfaction of customary closing conditions. There can be no assurance that the parties will enter into a definitive agreement or that any transaction will be consummated. Founded in 1949, Regent-Feinbau is a certified manufacturing specialist for precision sheet metal components and welded assemblies made of aluminum, steel, and copper.
