Dyadic International Completes $2.9M Stock Offering
Dyadic International announced definitive agreements with an institutional investor for the purchase and sale of shares of Common Stock in a registered direct offering with a concurrent private placement of warrants to the same investor. Aggregate gross proceeds to the company from both transactions are expected to be approximately $2.9M. The offering price per share of Common Stock is 79.5c and per Warrant is $0.005. The transactions consisted of the sale of 3.625M shares of Common Stock in the registered direct offering and Common Warrants to purchase 3.625M shares of Common Stock in the private placement with an exercise price of 84c per share. Aggregate gross proceeds to the company are expected to be approximately $2.9M. The transactions are expected to close on or about August 14, subject to the satisfaction of customary closing conditions. Aegis Capital Corp. is acting as exclusive placement agent for the offerings.
Dyadic International Expands Non-Animal Dairy Pipeline
Dyadic International announced the expansion of its commercial non-animal dairy pipeline through a new development and commercial license agreement with a European biotechnology company for additional precision-fermented dairy proteins. The agreement further expands Dyadic's growing food and nutrition pipeline while reinforcing the company's strategy of developing recurring revenue opportunities through strategic development partnerships, licensing and commercial participation.
Dyadic International Expands Bio-Industrial Pipeline
Dyadic International announced the expansion of its bio-industrial pipeline with a new proprietary industrial enzyme program focused on advanced cellulose processing. "We see this program as a key step in expanding our bio-industrial portfolio," said Joe Hazelton, president and COO of Dyadic Applied BioSolutions. "Following the launch of EN3ZYME, we continue to leverage the Dapibus platform to develop differentiated enzyme solutions for attractive industrial markets. Each new program further reinforces the scalability of the platform and strengthens our ability to drive value through proprietary products, strategic collaborations and licensing. Our goal is to build a diversified portfolio that supports long-term growth".
Dyadic International Collaborates with Scripps Research to Evaluate Hantavirus Antibodies
Dyadic International announced that Dyadic Applied BioSolutions and researchers at Scripps Research are collaborating to evaluate monoclonal antibody and vaccine candidates targeting hantaviruses, including Andes virus, a hantavirus strain associated with Hantavirus Pulmonary Syndrome. The company said, "A series of recently reported hantavirus and Ebola cases worldwide have underscored the importance of pandemic preparedness and highlighted the need to improve the speed, scalability, flexibility, and cost-effectiveness of biologic manufacturing during rapidly evolving public health events. The collaboration builds upon Dyadic's prior Andes virus monoclonal antibody work and combines the complementary expertise of Dyadic and Scripps Research to further assess the potential of Dyadic's proprietary C1 platform for rapid development timelines, high-productivity microbial fermentation, large-scale manufacturing, and biologic production intended to support future infectious disease preparedness."
Dyadic Enters OEM Distribution Agreement with IBT Bioservices
Dyadic Applied BioSolutions entered into an original equipment manufacturer distribution agreement with Integrated Biotherapeutics, LLC, d/b/a IBT Bioservices. Through this collaboration, Dyadic-produced recombinant protein products will be commercialized through IBT's established sales channels, expanding market access and supporting Dyadic's objective of generating ongoing, product-based revenues. The initial products expected to be offered under the agreement include recombinant DNase I and recombinant transferrin, with a focus on research-use-only applications. Dyadic expects to offer both human and bovine transferrin, along with additional cell culture-relevant recombinant proteins, as part of a broader and expanding product portfolio.
