BT Brands Terminates Merger Agreement with Aero Velocity
BT Brands announced that it has filed a Current Report on Form 8-K regarding the termination of the previously announced Agreement and Plan of Merger with Aero Velocity Inc. The merger agreement was terminated upon expiration of the contractual term set forth in the Merger Agreement, as the registration statement relating to the proposed transaction was required to be declared effective by the U.S. Securities and Exchange Commission by April 30, 2026. The termination was effected in accordance with the terms of the merger agreement. BT Brands determined that terminating the merger agreement was in the best interests of the Company and its shareholders. Following the termination, the Company has no agreement or arrangement with Aero Velocity and is no longer pursuing the previously proposed transaction.

BT Brands Merger Partner Aero Velocity Partners with AC Future
BT Brands announced that its proposed merger partner, Aero Velocity, has entered into a strategic partnership with AC Future, to jointly develop a Mobile Drone Launch Vehicle, MDLV, platform for U.S. military and public-sector applications. The announcement was made in conjunction with TEVCON in San Diego, California. The partnership brings together Aero Velocity's expertise in unmanned aerial systems, UAS, ISR operations, and defense-focused drone technologies with AC Future's advanced mobility and smart platform engineering capabilities.

BT Brands reported financial results for the 52 weeks ended December 28, 2025, including net loss that improved to ($687,839), or (11c) per share, compared to ($2.3M) million, or (37c) per share, in 2024. The company ended the year with approximately $4.4M in cash and marketable securities. The company recorded a $216,248 charge to reduce NGI bottled water inventory to estimated net realizable value. BT Brands continues to advance its proposed merger with Aero Velocity, it stated. Gary Copperud, the company's Chief Executive Officer, said: "The year marked a turning point for BT Brands. We significantly improved our operating performance through disciplined execution and cost control. At the same time, we are advancing toward completing our proposed merger with Aero Velocity, an emerging leader in the fast-growing drone and services market."

BT Brands announced that its proposed merger partner, Aero Velocity Inc. and its fellow AeroShield Alliance members, are establishing a Mississippi headquarters, expanding the footprint in infrastructure technology and positioning the consortium to scale its public-sector solutions platform. The expansion is expected to accelerate the deployment of the Alliance's and Aero Velocity's AI-driven infrastructure analytics and drone-based data collection capabilities across state and local government markets, while supporting workforce development and enabling broader access to large-scale infrastructure inspection and monitoring opportunities. The initiative represents a significant opportunity to expand access to advanced technology and workforce development in rural Mississippi through partnerships with Holmes Community College and local government leaders. Alliance member firms have collectively secured more than $100M in government contracts, serving agencies including the U.S. Department of War, U.S. Air Force, U.S. Department of Agriculture, the Intelligence Community, and the U.S. Forest Service.
