BGM Group to acquire HM Management for $41.7M
BGM Group announced it has entered into a definitive agreement to acquire HM Management Company a prominent AI agent production platform, in an all-stock transaction valued at approximately RMB300M or $41.7M. Under the Agreement, BGM will issue 16,663,427 Class A ordinary shares at $2.50 per share to acquire 100% ownership of HM Management and its two wholly-owned subsidiaries: Beijing Shuda Technology Company and New Media Star Technology. The transaction is expected to close in the Q2, subject to customary closing conditions. Shuda Technology is a high-tech company specializing in AI-driven enterprise efficiency solutions. By delivering integrated AI and data visualization solutions, it empowers businesses to conduct intelligent, end-to-end diagnostics and enhance decision-making across the entire innovation chain from research and development to commercialization, enabling rapid cost reduction, operational efficiency improvement, and business model innovation. New Media Star operates a fast-growing AI tools platform with over 150,000 followers, offering proprietary and third-party AI solutions for customer acquisition and private domain conversion.
BGM Group acquires Wonder Dragon for RMB550M
BGM Group announced that it has signed a definitive transaction agreement with the existing shareholders of Wonder Dragon Global to acquire 100% of the equity interests of Wonder Dragon by issuing 38,165,290 Class A ordinary shares at a price of $2 per share, for a total transaction valuation of RMB550M. The transaction is expected to be completed in the second quarter of 2025. Wonder Dragon possesses over 3,000 metric tons of premium Qingzhuan dark tea inventory, comprising 1,670 metric tons of raw materials and 1,350 metric tons of finished products. These premium tea products, known for their medicinal and collectible historical value, provide a solid foundation for BGM Group's research and development efforts. This acquisition strengthens BGM Group's position in the healthcare sector by expanding its health product portfolio and market reach. The company has been at the forefront of integrating AI technology, big data analytics, and biopharmaceutical innovations to modernize traditional industries. Post-acquisition, BGM Group plans to optimize tea production efficiency, enhance product adaptability, and accelerate the development of active ingredients for medicinal applications using its AI-powered decision-making platform.
BGM Group to acquire YX Management Company for $95M
BGM Group announced that it has signed a definitive agreement with the existing shareholders of YX Management Company, a smart mobility technology company. Under the agreement, BGM will acquire 100% of the equity interests of YX by issuing 47.5M class A ordinary shares to its existing shareholders, valuing YX at $95.0M. This acquisition is based on the exceptional expertise and experience of the YX team in scalable operations, digital infrastructure development, and technology commercialization. The integration of this team will accelerate the AI-driven strategic upgrade of BGM's intelligent platform, DuXiaoBao, injecting new momentum into the Company's future growth. The transaction is expected to be completed by June 2025. As a result, YX's existing shareholders will collectively hold approximately 32.8% of BGM's total outstanding and issued ordinary shares and approximately 2.2% of its voting power.
BGM Group Chairman Zhanchang Xin resigns, Chen Xin to succeed
BGM Group announced changes to its board of directors, marking the company's entry into a new phase of technological transformation and sustainable growth. Zhanchang Xin has tendered his resignation and will step down from his role as Chairman of the company, effective March 1. He will be succeeded by Chen Xin, the current CEO of the company, who will assume the position of Chairman.
