GrowHub Receives Nasdaq Notification of Non-Compliance with $2.5 Million Equity Requirement

GrowHub announced that it received a notification letter from Nasdaq, notifying the company that, based on the reported stockholders' equity of $2,299,129 of the company as reported in its Form 20-F for the period ended December 31, 2025, filed with the SEC on May 15, it was no longer in compliance with the minimum stockholders' equity requirement for continued listing on Nasdaq. Nasdaq Listing Rule 5550 requires listed companies to maintain stockholders' equity of at least $2,500,000.

GrowHub Partners with Republic of Srpska to Advance ESG Initiatives

GrowHub has signed a Memorandum of Understanding with the Government of the Republic of Srpska - Republic of Srpska, Bosnia, and Herzegovina - to pursue Environmental, Social, and Governance, or ESG, initiatives, including the development and implementation of traceability projects. Under the MoU, The GrowHub and the Government of the Republic of Srpska will collaborate to support their ESG initiatives through the development and deployment of the company's traceability and sustainability solutions. As part of the partnership, The GrowHub will provide its supply chain traceability platform, AI data analytics tools, carbon management and tracking systems, and digital asset solutions. The GrowHub is looking at bringing innovations to drive and boost the carbon project development potentials in the Government of the Republic of Srpska.

GrowHub's IPO of 3.75 million shares set at a price of $4.00

The deal priced at low end of $4.00-$5.00 target range. Alexander Capital, L.P. acted as the lead book-running manager with Network 1 Financial Securities, Inc. acting as a co-underwriter for the Offering.
