Company Terminates Letter of Intent to Acquire Alphalion Holding
In light of accelerating demand across both new smart elevator deployments and recurring maintenance contracts, the company has elected to terminate the previously announced on October 17, 2025, non-binding letter of intent to acquire Alphalion Holding, reflecting a disciplined capital allocation strategy and a clear prioritization of higher-return opportunities within its core business. Pursuant to the LOI, the company may terminate it prior to entering into any definitive agreement for the transaction during the process of conducting due diligence.

Taoping Signs $2M Smart Elevator Contracts and Relocates Headquarters to Tianjin
Taoping announced two significant strategic milestones: the establishment of a new corporate headquarters and the signing of $2M in smart elevator renewal contracts. Taoping has officially relocated its corporate headquarters to a more strategic location in Tianjin, China. The new headquarters is situated in the Tiankai Higher Education Park on the 21st floor of Building 3, Tianjin Science and Technology Plaza, Keyan West Road, Nankai District, Tianjin. Anchoring this relocation are the newly secured smart elevator renewal contracts valued at US$2 million, awarded to Taoping's newly acquired subsidiary, Skyladder Technology Development. The Company expects to complete the project and recognize the full contract value as revenue in the first quarter of 2026.
Taoping Enters Agreement to Acquire Alphalion Holding
Taoping announced that it has entered into a non-binding Letter of Intent with the shareholders of Alphalion Holding to acquire 100% of its equity interests. The proposed acquisition remains subject to the completion of due diligence, negotiation and execution of a definitive agreement, and satisfaction of customary closing conditions. There can be no assurance that the parties will enter into a definitive agreement or that any transaction will be consummated. Under the LOI, the parties have agreed to determine the purchase price and payment method in the definitive agreement to be negotiated following the completion of the relevant due diligence. The LOI will automatically terminate if the transaction is not completed by October 31, 2026.
