Goldenwise Capital Discloses 6.6% Stake in Phunware
In a regulatory filing, Goldenwise Capital Group disclosed a 6.6% stake in Phunware, representing 1,354,510 shares. According to the filing, which allows for activism, Goldenwise intends to engage in discussions with the company's board of directors and management regarding a range of matters, including, but not limited to, the company's governance, capital allocation, strategic direction, and overall performance. In furtherance of the foregoing, Goldenwise has recently initiated contact with members of the company's board of directors to seek constructive dialogue and to improve the company's governance, including through potential board representation. On July 9, 2026, Goldenwise sent an Open Letter to the Board of Phunware setting forth its views regarding corporate governance, shareholder representation, capital allocation and Board accountability. The shareholder believes that the company's governance practices have materially contributed to prolonged operating losses, shareholder dilution, leadership instability and declining shareholder confidence. Based on the company's operating and governance record during Elliot Han's tenure as Chair, Goldenwise has significant concerns regarding the Board's oversight, governance practices and capital allocation discipline. The shareholder also has concerns regarding the high compensation levels paid to each member of the Board.

Phunware Appoints Dmitry Kroshka as CEO
Phunware announced a leadership transition and product strategy update. Effective immediately, Dmitry Kroshka has been appointed CEO. Kroshka has served as a senior advisor to Phunware since October 2025. He will now lead the company's 2.0 Strategy, with a focus on converting Phunware's mobile, location-aware, and customer engagement capabilities into a unified, AI-enabled platform for complex physical environments. Jeremy Krol, who has served as interim CEO, will return to his COO role.
Phunware Appoints Elliot Han as Chairperson of Board Effective October 2025
Phunware announced that Elliot Han was appointed Chairperson of the Company's Board of Directors and Chairperson of the Board's Audit Committee, each effective October 2025. Han has served as a Class II non-employee Director on the Company's Board since January 2024 and will continue to chair the Board's Compensation Committee.
Phunware Names Krol to Its Board of Directors
Phunware announced the appointment of Jeremy Krol to its Board of Directors, effective immediately. Krol, who served as Phunware's COO before accepting a position as Interim Chief Executive Officer in July 2025, will continue in that leadership position in addition to joining the Board.
