Selling Stockholders Plan to Sell Up to 10M Ordinary Shares

Enlivex Enters $400M Private Placement Agreement with Institutional Investor
Enlivex announced that it has entered into a securities purchase agreement with a single institutional investor with respect to the private placement of $400M of ordinary shares at a price of $5.00 per share for subscription amounts funded in U.S. dollars, USDT or USD Coin and $6.00 per share for subscription amounts funded in RAIN tokens, the $5.00 price representing a premium of 17.4% and the $6.00 price representing a premium of 40.8%, in each case to the closing price of the ordinary shares on July 27, 2026, for expected aggregate gross proceeds of approximately $400M, before deducting offering expenses. The investor has elected to fund the purchase price using RAIN tokens, which election may be changed at any time prior to closing. Enlivex intends to use net proceeds from the private placement in furtherance of its treasury strategy built around the Rain protocol, the leading decentralized prediction markets infrastructure on Arbitrum, while continuing to advance Allocetra, an advanced clinical-stage immunotherapy targeting inflammatory conditions associated with aging, with a primary focus on age-related osteoarthritis.
Enlivex Receives RMAT Designation for Allocetra
Enlivex announced that the FDA has granted Regenerative Medicine Advanced Therapy, or RMAT, designation to Allocetra, the company's clinical-stage immunotherapy, for the treatment of age-related symptomatic knee osteoarthritis in patients aged 64 and older.
Enlivex Secures Australian Patent Protection Until 2040
Enlivex announced the issuance of an Australian patent. The patent will provide Enlivex with added intellectual property protection in Australia through at least 2040 with claims covering methods of using Allocetra to treat subjects with osteoarthritis. With this issuance, the company has secured patent protection for Allocetra in osteoarthritis in an additional major jurisdiction, further strengthening its global intellectual property position as the Phase 2b clinical program for Allocetra advances. Enlivex recently reported the dosing of the first patient at a U.S. clinical site in the Phase 2b clinical trial of Allocetra for the treatment of patients with moderate-to-severe age-related symptomatic primary knee osteoarthritis. The Phase 2b follows Enlivex's previous announcement regarding three-month and six-month topline data from the Phase 2b stage of ENX-CL-05-001, a multi-center, two-stage Phase I/II double-blind, randomized, placebo-controlled clinical trial that evaluated Allocetra in patients with moderate-to-severe knee OA.
Enlivex Supports Rain Foundation's $100M Liquidity Commitment
Enlivex commented on the Rain Foundation's announcement of a $100M liquidity commitment to Rain's prediction markets protocol, which currently positions Rain as the third-largest prediction market protocol globally by Total Value Locked, alongside Polymarket and Kalshi. "We believe that Rain's positioning among the three largest prediction market platforms globally is a major step in Rain's quest to become a leading decentralized prediction market protocol, and a meaningful validation of our treasury strategy," said Shai Novik, executive chairman of Enlivex.
