So-Young International Appoints Nan Shen as CFO

So-Young International announced that the board has appointed Nan Shen as the company's CFO, effective August 3. In her new role, Shen will oversee the company's finance, human resources, legal and compliance functions. Shen has served on the board since October 2023, when she joined as an independent director. In connection with her appointment as CFO, she has stepped down from the board's audit committee, compensation committee and nominating and corporate governance committee, and will continue to serve as a director of the company.

So-Young regains Nasdaq compliance

So-Young International announced that it has received a written compliance notification from the staff of the Listing Qualifications Department of the Nasdaq Stock Market dated July 2, notifying the company that it has regained compliance with the minimum bid price of $1.00 per share requirement set forth under the Nasdaq Listing Rule 5450(a)(1). On July 2, Nasdaq determined that for the last 10 consecutive business days, from June 17 to July 1, 2025, the closing bid price of the company's ADSs has been at $1.00 per share or greater. Accordingly, the company has regained compliance with the Minimum Bid Price Requirement, and Nasdaq considers this matter now closed.

So-Young plans to implement ADS ratio change

So-Young International announced that the company plans to change the ratio of the American depositary shares to its Class A ordinary shares from thirteen ADSs representing ten Class A ordinary shares to one ADS representing fifteen Class A ordinary shares. For the company's ADS holders, the change in the ADS ratio will result in an effect equivalent to a proportional reverse ADS split. There will be no change to the company's Class A ordinary shares. The effect of the ratio change on the ADS trading price on Nasdaq is expected to take place at the open of trading on June 30, 2025. ADS holders of record on the effective date will not be required to take any action in connection with the ADS ratio change. The exchange of then-held ADSs for new ADS will occur automatically with the then-held ADSs being cancelled and new ADSs being issued by the depositary bank, in each case as of the effective date for the ADS ratio change. The ADSs will continue to be traded on Nasdaq under the symbol "SY."
