SVRN Faces Nasdaq Delisting Risk for Not Filing Annual Report

SVRN, Inc, formerly OceanPal Inc., announced that on October 30th, 2026 it received a letter from the Listing Qualifications Department of The Nasdaq Stock Market stating that the company did not meet the terms of the exception previously granted by Nasdaq staff because it had not filed its Annual Report on Form 20-F for the year ended December 31, 2025 by October 27, 2026, and that, as a result, its securities are subject to delisting under Nasdaq Listing Rule 5250(c)(1). Under Nasdaq rules, a hearing request in a filing delinquency matter stays the suspension of the company's securities for 15 days from the date of the request, unless the Panel grants a further stay. The company plans to request a hearing on or before November 6, 2026, and will ask the Panel to extend that stay pending the conclusion of the Hearings process. There can be no assurance that the Panel will grant an extended stay or that the company will ultimately maintain its Nasdaq listing. The company's shares are expected to continue to trade on The Nasdaq Capital Market under the symbol "SVRN", at least through the 15-day stay period and, if the Panel grants the extended stay, through the Panel's decision process.
