Pure Cycle Receives Nomination for Board Candidates from Maran Partners
Pure Cycle confirmed that it has received notice from Maran Partners Fund, LP, a fund managed by Maran Capital Management, that it has nominated five individuals to stand for election to the Pure Cycle Board of Directors at the company's 2027 Annual Meeting of Shareholders. The Board's Nominating and Corporate Governance Committee will review the proposed nominees in accordance with the company's process and guidelines. The Board will make its formal recommendation regarding director nominations in the company's proxy statement, which will be filed with the SEC and mailed to shareholders eligible to vote at the 2027 Annual Meeting of Shareholders.
Pure Cycle Appoints New Independent Director Daniel Roller
Pure Cycle Corporation announced that a new independent director, Daniel Roller, was appointed to its Board of Directors, effective January 14, expanding the Board from 7 to 8 directors. This appointment, made in cooperation with Maran Capital Management, which beneficially owns approximately 14.7% of Pure Cycle's common shares, further strengthens the Board and adds new skillsets and capabilities. In connection with this appointment, the Board will form a Strategy and Capital Allocation Committee, to be chaired by Mr. Roller. Pursuant to a cooperation agreement, Maran has agreed to a customary standstill, voting and other provisions. Roller is the Founder, President and CIO of Maran Capital Management.
Pure Cycle Reports Q1 Revenue of $9.14M, Up 58% Year-over-Year
Reports Q1 revenue $9.14M vs. $5.75M last year. "We are pleased to welcome two new national home builders to our portfolio of customers Pulte Group and Oakwood who together with our other builders including Lennar, DR Horton, KB, Taylor Morrison, and Challenger are producing some of the finest entry level homes in the Denver metropolitan area. Sky Ranch continues to rank as one of the most affordable master planned communities in Denver. This year also brings the start of construction for our Charter High School, scheduled to open in the fall of 2026, which will bring a full K-12 school campus to Sky Ranch. We are grateful for our continued partnership with National Heritage Academy as our Charter operator at Sky Ranch and having a walkable school campus for our community," commented Mark Harding, CEO of Pure Cycle. Reports Q2 revenue $4M vs. $3.2M last year. "Second quarter is a seasonally slow quarter due to our Colorado winters making field construction challenging. That said we have a record number of lots under construction and have made substantial progress through the winter months towards delivering these lots," commented Mark Harding, CEO of Pure Cycle. "Our entry level market segmentation and our developing finished lots for our homebuilder customers continues to differentiate us in the market and bolster our value proposition to our homebuilder customers," continued Harding.

Reports Q1 revenue $5.8M vs. $5.4M last year. "Development at the Sky Ranch Master Planned Community continues to progress, and as of November 30, 2024, all homes are complete in Phase 2A, and we are finishing our warranty work. Our national homebuilder partners have begun construction in Phase 2B, as we finalize landscaping in this phase. We are actively developing Phase 2C, with utility work nearly 60% complete, and we anticipate delivering finished lots with home construction expected to begin late summer of 2025. Finally, we are well underway with grading work in Phase 2D and expect to complete these lots by the end of calendar year 2025. Pure Cycle continues to drive income from our resource rich asset base and in the three months ended November 30, 2024, we reported an increase in our royalty revenues from our oil and gas mineral interest at Sky Ranch, where an additional six wells were completed in 2024 that began producing during the quarter," noted Pure Cycle.
