Triller Issues Statement on Stock Price Volatility
Triller issued a statement in response to recent volatility in its common stock price, which declined more than 45% to close at $1.28 per share on July 15. The company said, "The Company confirms that it is not aware of any material corporate developments, undisclosed events, or internal matters that would account for this price movement. Management has reviewed recent business operations, disclosures, and public statements and has not identified any non-public information that would explain the decline. Moreover, management is not aware of who is engaging in the trading activity." "We want to reassure our shareholders that the Company's underlying business fundamentals and strategic outlook remain unchanged," said Desmond Shu, acting CFO. "We are closely monitoring this unusual trading activity and have requested that our Special Counsel evaluate this trading activity on July 15, 2026, to determine whether the trading activity is attributable to illegal short-selling or market manipulation."
Triller Group Shareholders Approve Capital Raising Flexibility
Triller Group provided the following update regarding the capital raising flexibility approved by shareholders at the company's Annual Meeting held on June 10: "At the Annual Meeting, shareholders approved a proposal authorizing the Company to issue shares of common stock (or securities convertible into or exercisable for common stock) totaling 20% or more of its outstanding common stock at a discount to market price in one or more private placements. Nasdaq has advised the Company that it will not recognize this omnibus authorization as sufficient for compliance with Nasdaq's shareholder approval rules. The Company has not entered into any definitive financing agreement and has not issued any securities under the omnibus authorization since the Annual Meeting. The Company intends to comply with all applicable Nasdaq rules in connection with any future securities issuances." Desmond Shu, Acting Chief Financial Officer, said: "This clarification addresses a procedural matter with Nasdaq regarding shareholder approval mechanics. No financing has been undertaken, and the Company remains fully focused on disciplined execution and value creation. We have worked tirelessly and diligently to regain full compliance with Nasdaq listing rules, and we remain committed to pursuing and maintaining full regulatory compliance and related best practices. Additionally, we will continue to evaluate capital opportunities responsibly and in compliance with applicable rules."
ILLR CEO Communicates Acquisition Plan for SpaceX Asset to Shareholders
Wing-Fai Ng, Group CEO, issued a message to shareholders, which read, "I'm writing to you directly as your CEO and a major shareholder. The past few days have been unsettling following the share consolidation, and I've seen the reaction. Let me be direct: the reverse split is not the story of this Company. A reverse split changes arithmetic. It changes the number of shares outstanding and the quoted price per share. It does not change the quality of our assets. It does not change our plan. It does not change the value we are building. What matters is market capitalization, balance-sheet strength, execution, and long-term shareholder value - and that is where we are focused. At our Annual General Meeting two weeks ago, we laid out the next phase clearly. 2025 was the reset year. 2026 is the year of execution and monetization. Our job now is to build value across our operating platforms, strengthen the balance sheet, and move from clean-up to growth. We are doing that. We also told you that new capital is imperative - which is why we asked for, and received, shareholder approval for capital-raising flexibility. At the same time, we are highly sensitive to dilution. Triller Acquires Economic Exposure to SpaceX
Triller (ILLR) announced that it has entered into definitive agreements to acquire a position providing economic exposure to SpaceX (SPCX) to be held as a strategic treasury asset on the company's balance sheet. The company is acquiring the position - held through a fund structure - through a wholly-owned special-purpose subsidiary, financed through a secured financing arrangement. The position was established ahead of SpaceX's public listing and is being acquired at a discount to its current market value. The financing is secured by the underlying position, and the company retains a portion of the position as treasury for the benefit of its shareholders.
