Fortitude Reports Adjusted EBITDA of $8.5M
Adjusted EBITDA of $8.5M; ZEC average operating hash rate 4.0 GSol/s; ZEC mined of approximately 33,646; Total controlled power capacity of 60+ MW across seven sites. As previously announced on June 23, 2026, Fortitude and HeartSciences entered into a definitive agreement providing for a proposed business combination. The Proposed Transaction is intended to bring a leading vertically-integrated Zcash mining platform to the public markets, and is expected to close in H2 2026. "This was a strong quarter for Fortitude and a clear demonstration of the momentum building in our vertically-integrated strategy," said Andrea Childs, CEO of Fortitude. "We mined approximately 33,646 ZEC at an average operating hash rate of 4.0 GSol/s. As we work to advance toward the public markets via our proposed business combination with HeartSciences, we remain thrilled about the opportunity ahead and our ability to execute on it."
Fortitude Mining Acquires 411,522 Shares of HeartSciences for Approximately $1M
HeartSciences announced Fortitude Mining purchased 411,522 shares of HeartSciences' common stock for an aggregate purchase price of approximately $1M in a private placement. The shares were issued at a negotiated price of $2.43 per share, representing a 22% premium to the closing price of HeartSciences' common stock on the purchase date. Fortitude purchased the shares for cash at a premium to market price. The exchange ratio under the merger agreement between Fortitude and HeartSciences is not adjusted as a result, and no additional shares will be issued to holders of Fortitude's equity interests at closing in respect of the amount invested. The shares issued in the Investment are voting shares of HeartSciences' common stock and carry no additional rights or preferences. Following the investment, Fortitude holds approximately 9.4% of HeartSciences' outstanding shares of common stock. The proposed transaction is expected to close in the second half of the current calendar year and remains subject to customary closing conditions, including approval by HeartSciences' shareholders.

Fortitude Mining Holdings announced that it has completed the acquisition of a 12.5 megawatt digital infrastructure facility in Prosser, Nebraska in an asset purchase of the underlying real property. The transaction was funded entirely with cash on the Company's balance sheet. The acquisition is the latest in a series of strategic initiatives as Fortitude continues to build and scale its platform ahead of its proposed business combination with HeartSciences. The Prosser acquisition follows the recent energization of the Company's Grand Island facility and its definitive agreement with Bitmain for 9,000 Antminer Z15 Pro units, reflecting Fortitude's continued momentum across its power portfolio and mining operations.

Fortitude Mining announced it has executed a definitive purchase agreement with Bitmain for 9,000 Antminer Z15 Pro units, purpose-built Equihash ASICs and the leading hardware for mining Zcash, further expanding the Company's Equihash mining fleet. The purchase builds on the previously announced proposed business combination with HeartSciences, which aims to bring a leading vertically-integrated Zcash mining platform to the public markets. Upon closing of the proposed transaction, which is expected in H2 2026, the combined company is expected to operate under the Fortitude brand and to trade on the Nasdaq Capital Market under the ticker symbol "TUDE," subject to Nasdaq approval.
Fortitude Mining Energizes New Facility in Nebraska
Fortitude Mining announced the energization of its new facility in Grand Island, Nebraska. With 12 MW of power capacity now delivered, Fortitude has completed construction, brought the facility online, and validated its electrical infrastructure ahead of full-scale operations. The energization follows Fortitude's previous announcement that it has entered into a definitive agreement for a business combination transaction with HeartSciences.
