Gamehaus Holdings Acquires Techforge Shares for $19.6M
Gamehaus Holdings announced that it has entered into a definitive share purchase agreement to acquire existing shares of Techforge from certain selling shareholders, including an entity controlled by Feng Xie, the company's founder and chairman, for an aggregate consideration of $19.6M, payable through the issuance of Class A ordinary shares of Gamehaus. Techforge is the holding company of Anamana, an integrated AI-native micro-serial platform, production platform and global creator ecosystem incubator. Substantially concurrently with the execution of the share purchase agreement, Gamehaus also entered into a share subscription agreement with Techforge, pursuant to which Gamehaus will invest $7M in cash directly into Techforge. Following completion of the share purchase and cash capital investment, Gamehaus is expected to hold approximately 56% of the equity interests in Techforge. The proposed transaction is intended to advance Gamehaus's transition from a mobile game publisher to a broader AI content production and distribution platform. Following the completion of the proposed transaction, the company plans to establish Anamana as a new business in its portfolio and develop it into Gamehaus's primary engine driving future growth. Gamehaus will continue to manage its existing gaming business with a focus on cash flow and profitability. Pursuant to the share purchase agreement, the company will acquire an aggregate of 7,778 ordinary shares of Techforge from certain selling shareholders of Techforge, for aggregate consideration of $19.6M. The purchase price payable to each selling shareholder would be satisfied in full through the issuance of the company's Class A ordinary shares to such selling shareholder or its designee, with no cash payable to the selling shareholders. In connection with the share purchase agreement, on November 2, Gamehaus entered into a separate subscription agreement with such selling shareholders of Techforge, governing the issuance of approximately 24.5M Class A ordinary shares of the company at a price of 80c per share. The consideration shares will be issued in a private placement exempt from registration under Section 4 of the Securities Act of 1933, as amended, and the company has agreed to use reasonable commercial efforts to file a registration statement on Form F-1 or Form F-3 registering their resale within 60 calendar days after closing. The company will also contribute $7M in cash directly to Techforge pursuant to the share subscription agreement, dated November 2, under which the company will subscribe for 2,526 newly issued ordinary shares of Techforge. The capital contribution is expected to be funded from the company's own funds and completed immediately following the completion of the share purchase. Following completion of the share purchase and cash capital Investment, Gamehaus is expected to hold approximately 56% of the equity interests in Techforge. Completion of the proposed transaction and the issuance of consideration shares is expected in November, subject to the satisfaction or waiver of certain customary closing conditions. The proposed transaction does not require the approval of the company's shareholders.
Gamehaus Holdings Shifts Focus to AI-Generated Content
Gamehaus Holdings announced a shift in its strategic focus toward artificial intelligence-generated content. Under the revised strategy, the company will progressively optimize its third-party publishing business in casual titles, and in particular in the social casino category, and will direct its resources toward the development and distribution of AI-generated content. In connection with this shift, the company has begun managing its existing portfolio of casual and social casino titles on a cash flow- and profitability-oriented basis, with user acquisition and operating expenditure allocated according to return on investment rather than scale of installed base. This approach took effect during the current quarter and applies across the existing game portfolio. The company said, "The strategic shift reflects both the Company's assessment of structural conditions in the casual publishing market and its view of the opportunity presented by generative technologies. In the casual category, user acquisition economics have been reshaped in recent years by several converging factors: the contraction of addressable audiences in mature markets, the reduction in attribution and targeting signal available to advertisers on major mobile platforms, and sustained competition for paid media inventory. Together, these factors have compressed the margin available at the publishing layer of the value chain. At the same time, the Company believes that generative technologies are altering the cost structure of content production itself - shortening development cycles, lowering the marginal cost of producing and iterating on content, and, most significantly, broadening the range of participants able to produce content at all. Gamehaus intends to move into the content creation process by developing AI-based content generation tools and making them available to third-party creators, including game developers. These tools are designed to support content creation by both internal teams and external creators, and the Company ultimately expects its AI-powered content generation capabilities to enable a broader creator ecosystem to drive content production. The Company also expects to maintain a small-scale in-house development and testing function, principally to validate and refine its tools. The intended principal driver of content supply under this strategy is the creator economy those tools are designed to enable. The Company's initial focus within AI-generated content is casual mobile games. Earlier this year, Gamehaus completed a minority equity investment in a promising early-stage studio focused on AI-driven game generation, whose work includes AI-assisted art, asset and level generation pipelines for casual game content. The Company intends to leverage AI-powered content creation capabilities of this kind and combine them with its existing publishing infrastructure, user acquisition platform and live-operations function, which together serve a global user base across major mobile app stores. Over time, the Company intends to position itself as an AI-enabled content generation and distribution platform. Gamehaus believes that the applicability of AI-powered generative tools is not limited to casual games, and that comparable changes in production economics are emerging in short-form animated drama and in interactive formats that combine short-form drama with gameplay. The Company is evaluating opportunities in these areas and will provide further information if and when there is a material development to report."
