Generation Income Properties Amends Preferred Stock Terms to Support Nasdaq Listing
Generation Income Properties announced a transaction by Generation Income Properties, LP, the Company's operating partnership subsidiary, that is intended to increase the Company's stockholders' equity in support of the Company's continued Nasdaq listing. In the transaction, Generation Income Properties, LP entered into definitive agreements with the holders of its outstanding Series B-1 Preferred Units and Series B-2 Preferred Units to amend the terms of such preferred units to eliminate certain holder-controlled cash redemption rights and replace those rights with a right to exchange the preferred units for shares of common stock of the Company upon the terms and conditions more specifically set forth in the definitive agreements. Based on consultation with its professional advisors and independent auditor, the Company believes these amendments support permanent equity classification of the preferred units for financial reporting purposes. As a result of this action, the Company believes it will be able to achieve compliance with Nasdaq's continued listing requirement of at least $2.5M of stockholders' equity and will seek a compliance determination from Nasdaq. As previously disclosed, the Company was granted an extension by Nasdaq to August 4, 2026, to demonstrate compliance with the Nasdaq stockholders' equity requirement.

Generation Income Properties Approves 1-for-10 Reverse Stock Split
Generation Income Properties has unanimously approved a 1-for-10 reverse stock split of the company's issued and outstanding common stock, par value 1c per share. Upon the effectiveness of the reverse stock split, every ten issued and outstanding shares of the company's common stock will be converted into one share of company common stock. The reverse stock split is expected to take effect on July 9. The company's common stock will continue to be traded on Nasdaq on a split-adjusted basis beginning at the market open on July 10 under the company's existing trading symbol "GIPR." The split is intended to increase the bid price of the company's common stock so that the company can regain compliance with the minimum bid price requirement of $1.00 per share for continued listing on Nasdaq. The new CUSIP number following the split will be 37149D402. The split will affect all shareholders uniformly and will reduce the number of shares of common stock issued and outstanding from approximately 10,304,015 to approximately 1,030,402.

Generation Income Properties "announced the pricing of its best-efforts public offering of 23,825,000 shares of its common stock and warrants to purchase up to 23,825,000 shares of common stock, at a combined public offering price of $0.21 per share and accompanying warrant. The warrants will have an exercise price of $0.21 per share, will be exercisable immediately upon issuance and will expire on the fifth anniversary of the original issuance date. The warrant exercise price and the number of shares underlying the warrants are subject to certain adjustments in connection with share splits or share combinations, among other customary adjustments. Maxim Group LLC is acting as sole placement agent in connection with this offering."
