Empery Digital Repurchases 122,955 Shares, Invests $65M in AI Data Center

Empery Digital provided an update on its share repurchases, capital allocation priorities and Midwest AI data center investment. Following the Company's Annual Meeting, the Board and management are excited to now focus solely on creating value for all shareholders. The Company has resumed repurchasing shares under its existing share repurchase program, reflecting its continued belief that its shares are significantly undervalued relative to its balance sheet and that repurchasing shares at current levels represents an attractive allocation of capital. Going forward, the Company intends to repurchase shares opportunistically while maintaining sufficient cash to fund its current commitments and capitalize on future AI infrastructure opportunities. In the week ending October 23, 2026, the Company repurchased 122,955 shares of its common stock under its $200 million share repurchase program at an average price of $2.89 per share, including fees and commissions. As of October 23, 2026, the Company has repurchased an aggregate of 26,363,499 shares of its common stock. Following these repurchases, Empery Digital has 29,694,955 shares outstanding, after giving effect to the potential exercise of 1,653,686 pre-funded warrants, and approximately $50M remains available under the share repurchase authorization. As of October 23, 2026, the Company held 1,018 bitcoin, approximately $70M in cash and approximately $35M in debt. The Company's partner, Hunt Properties, Inc., continues to advance the 15-year triple net lease for the Midwest AI data center facility that is expected to service high investment grade counterparties and expects to execute the lease in the near term. As previously announced, Empery Digital agreed to invest $65M for a 25% interest in the private entity acquiring the facility, which offers 150 megawatts of power with an owned substation and the potential to expand to approximately 300 megawatts of power. Under the triple-net lease structure, the tenant will be expected to fund the data center buildout, power usage and operating costs, with Empery Digital's funding obligation limited to its initial $65M investment. Hunt Properties continues to pursue attractive lease terms for the partnership.

Hunt Properties Updates on AI Data Center Investment with Empery Digital

Hunt Properties provided an update on its joint Midwest AI data center investment partnership with Empery Digital. The 15-year triple net lease for the Midwest AI data center continues to progress, with an expectation of execution in the near term. The property is comprised of a 150-megawatt facility, with an owned substation and the opportunity to upgrade capacity to approximately 300 megawatts. Hunt Properties reiterates its belief in this project because of the finite amount of available grid power, the intense demand for compute and the ideal location of this property. Hunt Properties continues to pursue the best possible lease terms for the partnership and ultimate success of the project. "We believe that the future success of our partnership relies heavily on Empery Digital's current board and management team and the continued ability to execute upon our shared vision for AI infrastructure," said Al Allred, Chairman of Hunt Properties. "We remain dedicated to working with the existing board and that is why we voted our shares to elect the company's proposed nine nominees."
